Associate General Counsel, Corporate Trust

Location: Charlotte, North Carolina (Hybrid)

This is a hybrid position primarily based in Charlotte, North Carolina or it can be based from any of our US office locations. The Global Legal team supports Computershare to meet its strategic objectives by expertly managing legal risk and providing smart, commercial, effective, and efficient legal solutions. This role sits within the Global Corporate Trust Legal function which is accountable for the provision of legal support to Computershares corporate trust services business.

A role you will love

The Associate General Counsel is responsible for providing expert legal advice and solutions to the Corporate Trust business, with particular focus on the conventional corporate trust product offerings, particularly corporate debt, municipal debt, and escrow. This leadership role reports directly to the United States General Counsel Corporate Trust. You will work with a team of attorneys and paralegals supporting the corporate trust business at Computershare and will (a) handle certain transactions directly with teams in the corporate trust line of business and (b) oversee outside counsel in the negotiation, closing and administration of myriad financial transactions.

Key Responsibilities

  • Provides interpretation and strategies, initiates communications to clients, and designs solutions for situations that may have high financial, regulatory and/or public relations risk or significance.
  • Monitors and interprets a broad range of complex, current, and proposed laws and regulations on the federal and state level affecting area of specialization.
  • Anticipates, identifies, and communicates issues of significant legal concern.
  • Provides general transactional advice for corporate, municipal and similar bond transactions.
  • Assists with regulatory compliance requirements and management of legal and operational risk.
  • Negotiate, draft and revise transactional documents.
  • Manage outside counsel relationships.

What will you bring to the role?

  • The Associate General Counsel will have excellent knowledge of legal and regulatory issues in connection with securitization, corporate finance, municipal finance, insurance trust, and similar transactions. Additional experience on other corporate trust related matters, including conventional debt structures and agency services for finance transactions is preferred. The role holder will be licensed and in good standing to practice law in one or more US jurisdictions.
  • The Associate General Counsel will have at least 15 years of legal experience at a major law firm, and/or in-house. Experience in securitizations and corporate finance transactions are required and experience in corporate trust, escrow, securities custody, agency and directed agent roles is preferred.
  • The Associate General Counsel will have business savvy with a strong team spirit to work collaboratively with other team members and engage proactively with domestic and international stakeholders at all levels. They may at times mentor or supervise staff as they lead and direct the work of other team members.
  • The Associate General Counsel should have excellent analytical skills, with business acumen and the ability to reconcile legal risks with business needs and apply practical legal solutions. The role holder will also have strong organizational skills, attention to detail and be able to multitask and work independently in a fast-paced environment. Further, they will have solid judgement and a flexible problem-solving approach.
  • JD Degree and a license to practice law in one or more United States jurisdictions.
  • 15 years of experience in a law firm or corporate legal department as counsel in the financial services industry and/or corporate finance transactions, and ideally with experience in corporate trust services.
  • It is expected that this position may include travel up to 10% of the time. This is subject to change based on many factors, including business needs.
