Senior Counsel / Assistant General Counsel

Summary:

Reporting to PSI’s General Counsel, the Senior Counsel / Assistant General Counsel works on a variety of legal assignments provided by the General Counsel and leadership team of PSI.

Essential Responsibilities:

  • Review and analyze various legal documents including leases, customer agreements, vendor agreements, and confidentiality agreements. Redline drafts and provide recommendations with supporting authority on legal, liability, risk, insurance, and legal compliance issues
  • Assist with preparing and organizing detailed records supporting SEC filings, including the Proxy Statement, Forms 10-K, 10-Q, and 8-K, and other related securities filings
  • Proactively monitor PSI risk profile by building and maintaining an understanding of the Company's business, operations, and key personnel as well as existing, past, and potential legal issues to provide preliminary conflict resolution options for litigation avoidance
  • Assist with all aspects of pre-trial litigation needs, including drafting and responding to discovery, reviewing relevant documents, interviewing witnesses, and reviewing and revising motions and other court filings
  • Work cross-functionally with other departments in the organization to ensure that Company personnel have the tools and training to be aware of, and in compliance with, the applicable laws and regulations within their fields of work
  • Research legal principles and precedents, consult with outside counsel, draft and execute legal documents, negotiate agreements, gather relevant factual information and documentation using multiple sources and methods, and provide support to external counsel, other professional, paraprofessional, and support staff in developing solutions to legal challenges
  • All other duties assigned by the General Counsel or management

Requirements:

  • Juris Doctorate (J.D.) degree; Illinois bar admission
  • 7-10 years of experience at a law firm serving publicly traded companies and/or as in-house counsel at a publicly traded company
  • Strong subject matter expertise in several of the following legal fields: securities law, contracts, corporate law and governance, and commercial or employment litigation
  • Demonstrated experience developing, drafting, and reviewing purchase and supply contracts
  • Skilled in using Microsoft Office, Excel, Outlook, Word, Power Point, and Westlaw

Preferred Qualifications:

  • Fluency in Mandarin Chinese
  • Experience preparing various SEC filings
  • Understanding the legal implications of doing business globally, especially relating to supplier, customer, and regulatory issues
  • Experience at or providing outside counsel for an engineering design and manufacturing company
  • Business knowledge and financial acumen
