Location: This role will be based in the San Francisco Bay Area.

The LinkedIn Legal & Public Policy Team is made up of legal and policy professionals with diverse backgrounds and skill sets who have set an extremely high bar for providing legal and policy solutions. If you like smart, witty, and motivated people, you will fit in well with the Legal & Public Policy Team.

We are looking for a highly motivated Senior Managing Counsel and Head of Corporate Law to join LinkedIn. In this role, you will partner with stakeholders across the Company to lead and support a broad range of corporate and legal functions, including corporate governance and reorganizations, international subsidiary and legal entity management, and mergers and acquisitions.

Responsibilities

  • Manage LinkedIns international subsidiaries and legal entities, including coordinating subsidiary board meetings, preparing local filings, and administering corporate records;

  • Provide strategic legal counsel to internal stakeholders on a broad range of corporate matters, including regulatory compliance, business strategy, deal structures, transactional issues, corporate governance and reorganizations, and Company policies;

  • Collaborate with cross-functional partners across LinkedIns Legal & Public Policy Team to provide corporate law guidance and support on relevant projects and workstreams;

  • Advise on and lead legal support for all aspects of global M&A, investment activity, and other strategic transactions, including coordinating with corporate development partners, legal and finance professionals, senior business leaders, and company executives to drive successful outcomes;

  • Help evaluate potential acquisitions, strategic transactions and investments, perform due diligence reviews, draft, review, and negotiate agreements, and assist with post-closing integration;

  • Manage a small team of legal professionals, including our Senior Lead Manager of Global Corporate Governance;

  • Effectively manage external corporate and international counsel;

  • Support business expansion and new market entry initiatives;

  • Build and leverage strong relationships with internal stakeholders in Corporate Development, Business Development, Controllership, Tax, Payroll, Global Talent, Communications, Treasury and Legal and Public Policy;

  • Drive continuous improvements, scalability, and operational excellence in deal processes and execution;

  • Stay up-to-date on legal and industry developments affecting international subsidiary governance, M&A, integration, and investments;

  • Support other corporate legal projects as needed;

  • Model and support LinkedIns strong culture and values;

  • Play an active role in fulfilling LinkedIns mission of connecting the world's professionals to make them more productive and successful.

Qualifications

Basic Qualifications:

  • J.D. and admission to the bar or the ability to practice in-house law in your office location

  • 8+ years of combined corporate and M&A experience at a law firm and/or in-house legal department

  • Experience managing legal professionals

PreferredQualifications:

  • Experience advising on corporate governance, international expansion and subsidiary corporate maintenance across a range of international jurisdictions;

  • Experience leading M&A for a technology company, with a combination of both in-house and law firm practice preferred;

  • Strong understanding of U.S. and international corporate laws, including corporate governance requirements;

  • Ability to work independently, but also as part of a diverse team, and to juggle and prioritize multiple competing tasks under tight timelines in a fast-paced, challenging environment;

  • Are comfortable with ambiguity and effective in an environment where you will be expected to give quick, clear, and concise legal advice to stakeholders of all levels;

  • Strong collaboration skills to successfully work across business functions and geographies;

  • Excellent communication skills, impeccable integrity, unquestionably good judgment, strong analytical skills and a keen sense of humor.

LinkedIn is committed to fair and equitable compensation practices.

The pay range for this role is $162,000 to $263,000. Actual compensation packages are based on several factors that are unique to each candidate, including but not limited to skill set, depth of experience, certifications, and specific work location. This may be different in other locations due to differences in the cost of labor.
