As Corporate Counsel with a primary focus on contracts and corporate governance, you'll play a crucial role in ensuring the legal integrity of our business operations. This role will work closely with our sales and finance teams to review, draft, and negotiate various corporate contracts, agreements, and other legal documents. Additionally, you'll provide support on corporate governance matters, including board meetings, corporate filings, and entity management. This position reports to the CFO and offers an excellent opportunity to gain hands-on experience in corporate law within the fast-paced environment of a tech startup.

Key Responsibilities:

  • Structure, draft, negotiate, and counsel on a broad range of inbound, outbound and/or proposed transactions (e.g. sales, partnership, and vendor contracts) including partnering with the Revenue team and other stakeholders.
  • Collaborate withbusinessteams to manage and execute oncompanyinitiatives, mitigate risks to thebusiness, as well as the organization's day-to-day operational needs meeting legal obligations required.
  • Interface with business units across the organization (Revenue, InfoSec, Compliance, Marketing, Product, and People) and provide practical and effective strategic business and legal advice advising the CEO, CFO, Sr Management Team and or the Board of Directors where applicable.
  • Assist in the resolution of disputes, including contract disputes, intellectual property disputes, and other legal conflicts, through negotiation, mediation, or litigation support as necessary.
  • Advise internal teams on legal and regulatory requirements related to data privacy, intellectual property, and other pertinent areas.
  • Assess and advise on current and future business structures and legal entities.
  • Develop and implement policies and procedures on industry-specific issues to promote legal compliance across the organization.
  • Provide legal guidance and training to employees on contractual matters, compliance requirements, and legal best practices.
  • Assist with special projects to support Finance & Legal compliance goals and initiatives(such as equity management,corporateinsurance policies and negotiation, drafting and initiating quarterly board minutes & board consents) as needed.
  • Maintain a current knowledge of legal issues of importance through participation in continuing legal education and membership in appropriate bar and professional associations.
  • Stay abreast of relevant laws, regulations, and industry standards interpreting existing or proposed laws and regulations that could impact thecompany.
  • Provide supervision to outside lawyers hired to assist the corporation with their specialized legal services.


Qualifications:

  • JD from a top tier law school, member in good standing of a state bar.
  • 5+ years of legal experience in a large law firm setting, or for an organization that has quickly scaled.
  • Strong understanding of contract law principles and experience drafting, negotiating, and reviewing complex commercial contracts.
  • Familiarity with relevant legal frameworks, including data privacy regulations (e.g., GDPR, CCPA) and intellectual property laws.
  • Ability to prioritize and manage business expectations in a high pressure, high volume environment.
  • Demonstrated ability to perform and thrive in a rapidly changing, fast paced environment.
  • Flexibility and creativity, with the initiative to work through multiple solutions to issues and proactively and reliably drive projects forward.
  • Excellent communication skills, with the ability to effectively communicate legal concepts to non-legal stakeholders.
  • Willingness to collaborate, learn, share knowledge, respond quickly to urgent matters, and execute proactively.
  • Strong work ethic and strong sense of responsibility for high quality work product.
  • Project manage multiple deals to closure simultaneously.

The typical pay range for this role across the U.S. is USD [$150,000.00 OTE] to [$200,000.00 OTE] per year. PlexTrac utilizes different base pay ranges for different work localities, which allows us to pay employees competitively and consistently based on their home market. The range above reflects the potential base pay across the U.S. for this role; the specific applicable base pay range will depend on the candidates work location. In addition to a candidates work location, an individuals base pay will also depend on a number of factors, such as complexity and responsibility of the posted role, job duties/requirements, and relevant experience and skills. Base pay ranges are reviewed and typically updated each year. Offers are made within the base pay range applicable at the time.


At PlexTrac, certain roles are eligible for additional rewards, including merit increases, annual bonus and equity options. These awards are allocated based on individual performance. In addition, certain roles also have the opportunity to earn sales incentives based on revenue or utilization, depending on the terms of the plan and the employees role.
