Position Summary:

The Manager, Associate Counsel will provide legal support and work closely with the IT and Digital departments of all Royal Caribbean Group cruise brands and provide legal assistance to other business units as needed, including but not limited to, e-commerce, Artificial Intelligence, and other business teams. The Manager, Associate Counsel will have responsibilities in the areas of contract drafting and negotiation, commercial transactions, and advising on commercial legal issues and technology-related regulatory matters. Often required to work on time-sensitive matters and handle a high volume of agreements, this attorney will operate with significant autonomy and have considerable direct interaction with all levels of management.

The position will be based in the Miami, Florida office, and will collaborate closely with various clients located elsewhere in the United States and internationally.

Essential Duties and Responsibilities:

  • Responsible for drafting, negotiating, and assisting internal clients in a wide range of complex technology agreements, such as software development agreements, software license agreements, hardware and supply agreements, service-level agreements, and software-as-a-service (SaaS) agreements.
  • Update and maintain contract templates and implement process efficiencies with an objective for continuous improvement of legal support to the organization; provide regular training to the business units.
  • Administration and resolution of legal issues that arise in existing commercial relationships; manage and/or provide support on pre-litigation and litigation matters relating to technology and related substantive legal areas.
  • Responsible for providing legal advice on technology issues and legal risks, company policies and procedures, and negotiation strategy.
  • Implementation of continuous improvement strategies and legal best practices relating to, but not limited to: (a) contract lifecycle management tools (e.g., Coupa CLM), (b) drafting and maintenance of standard templated agreements including Master Service Agreements, Statements of Work, Staffing Service Agreements, Non-Disclosure Agreements, and others, as may be required.
  • Managing client contract priorities and setting goals for the efficient administration and processing of technology agreement across various business units.
  • Counsel colleagues in the legal department and internal business stakeholders on various legal issues, information security, US-based data privacy matters, indemnities, and limitations of liability negotiations.
  • Train and assist various business units on contract lifecycle management processes, contract policies, standard agreements, and specific contract clauses, as well as negotiation strategy.
  • Respond promptly to requests, clearly summarize, and communicate legal risks to business teams, and prioritize projects.
  • Manage a high volume of contracts and legal requests in a timely manner, while working with clients to adequately prioritize business needs.

Qualifications:

  • Ability to assess risks and provide thoughtful and detail-oriented advice in a fast-paced, high-volume environment.
  • At least four (4) years of experience drafting and negotiating contracts and licensing in various areas of technology, including software, hardware, SaaS, internet and e-commerce and other related technologies.
  • Experience advising clients on information security and data privacy risks.
  • Ability to manage analyze legal and commercial risks quickly and communicate in a clear and effective manner with lawyer and non-lawyer client(s) alike.
  • Ability to supervise, propose and implement creative, business-oriented legal solutions.
  • An ability to effectively communicate legal concepts plainly, and in-person.
  • Strong team player and ability to work cross-functionally in a complex organizational structure.
  • Juris Doctor from an accredited U.S. law school, with law review a plus.
  • Membership in the Florida Bar or willingness and qualification to be Registered In-House Counsel.

The preferred qualifications of a successful candidate include:

  • Commercial litigation experience centered on breach of contract matters or complex commercial litigation matters.
