Were currently looking for a Senior Counsel - Corporate & Transactions to join our team in Franklin, TN.

The Senior Counsel will provide strategic advice and counseling for Nissan North America business clients involving corporate transactions. This position will be directly responsible for providing highly experienced legal counsel and services to NNAs management and employees, while managing and providing legal advice and guidance for highly complex legal transactions and related matters.

The Senior Counsel must have strong knowledge and experience with sophisticated commercial and corporate transactions, corporate governance, and managing outside counsel, and managing outside counsel budgets.

Specific job functions include but are not limited to:

  • Manage and coordinate legal aspects of all company corporate transactions.

  • Lead responsibility for drafting, advising, and negotiating such transactions.

  • Management of outside counsel, and budgeting.

  • Advise NNA leadership and internal clients on all relevant legal matters and resolve issues as well as consult with outside attorneys when complex legal questions arise that require special input.

  • Develop strategies for cost-effective approaches to NNA legal activity including long-term planning process for legal activities.

  • Develop, implement and monitor KPls to ensure tracking of performance on legal activity.

  • Maintain and build a high-performance team through enhanced training, mentoring and people development.

Required Experience and Qualifications:

  • Juris Doctorate from a top-rated law school, and Bar Admission in at least one U.S. jurisdiction and eligibility to be admitted in Tennessee.

  • A minimum of 10 years of legal professional experience, with a primary focus on corporate/commercial transaction matters.

  • Experience in managing sophisticated commercial and corporate transactions, preferably with some experience in mergers/acquisitions, licensing, technology and supplier agreements.

  • Experience in effectively managing a budget, preferably with the inclusion of alternative fee arrangements.

  • Successful partnering with key functional areas of the business including sales, finance, purchasing and other functions across the company.

  • Excellent interpersonal and written/verbal communication skills.

  • Ability to communicate complex concepts in a simple, compelling, concise, and creative way.

  • Ability and authority to make clear, confident and sound decisions quickly.

  • Adaptable and flexible with confidence and energy to work in a fast-paced, demanding environment while handling multiple projects.

  • Strong business and financial acumen.

  • Demonstrated ability to manage people and multi-functioning teams.

  • Ability to handle highly confidential and sensitive matters, and knowledge of online legal research tools.

  • Makes technical, legal and authoritative decisions with minimal input and supervision.
