TransMedics (TMDX) has established the National OCS Program (NOP), which comprises a transformational clinical and logistics network at a national level. This program has enabled increasing the number of organs transplanted in the US at a national level over the past 2 years and have a set goal of reaching 10,000 transplants annually by 2028. The NOP is composed of regional hubs, currently 16 across the US and growing, where TransMedics (TMDX) has invested in having our resources, Clinical Specialists and Surgeons, in addition to our OCS technology and Logistics services strategically located to ensure 24/7 availability to respond to donor offers and utilize our resources nationally to benefit more transplant patients across the US. The NOP is utilizing the OCS technology that have been FDA approved for commercial use for donor Livers, Hearts, and Lungs, hence it is benefiting a wide range of transplant recipients in the US who await this precious gift of life.

TransMedics is seeking a Director, Assistant General Counsel to play a pivotal role in helping shape and scale the legal function in a growing and dynamic business environment.

The Director, Assistant General Counsel will be responsible for providing high-quality, timely and strategic advice to support the execution of strategic and day-to-day matters. Reporting to the General Counsel, this position will help lead the business through robust growth by playing a direct, hands-on execution role. This role will contribute and add value beyond the boundaries of strict legal issues, serving as a pragmatic problem-solver.

ESSENTIAL FUNCTIONS INCLUDE BUT ARE NOT LIMITED TO:

Strategic Advisory:

  • Serve as a trusted legal advisor to the business to enable execution of strategic and day-to-day priorities.
  • Partner with a wide range of business and corporate functions, including Commercial, Clinical, Finance, HR, IT, Product Development, Regulatory Affairs, and Supply Chain & Operations.

Business Enablement:

  • Draft, review, and negotiate complex and routine contracts across all lines of the business, including customers, suppliers, vendors, distributors, and others.
  • Handle a variety of legal issues and advise on risk management relevant to Commercial, Clinical, Finance, HR, IT, Product Development, Regulatory Affairs, Supply Chain & Operations, and other functions.

Compliance and Training:

  • Collaborate with cross-functional stakeholders to develop policies and procedures to ensure legal compliance across the company.
  • Deliver training to the business on relevant legal topics.

Driving Timely Results:

  • Collaborate with legal function colleagues to implement effective and efficient processes and systems for the execution of legal matters.
  • Continuously monitoring workload to manage multiple deadlines and expectations of internal and external stakeholders to ensure commitments are met in a timely manner.

Continuous Improvement:

  • Lead the creation of a robust library of contract templates, terms & conditions, and legal knowledge management tools.
  • Revise and update the library as the business needs change.

Projects: Assist with special projects, research and problem analysis as assigned.

BACKGROUND AND QUALIFICATIONS:

  • 8+ years of experience as a seasoned lawyer, ideally with a combination of in-house and law firm experience.
  • A corporate generalist with experience handling business law, transactions (including commercial and corporate), compliance & ethics, litigation, labor & employment, and risk management.
  • Demonstrated ability to provide high quality work-product and recommend pragmatic solutions.
  • Have a strong commercial orientation and excellent judgment and self-awareness.
  • Self-starter with a strong work ethic and sense of urgency, ability to multi-task, prioritize and follow-through effectively on numerous matters simultaneously with tight deadlines.
  • Ability to interact with all levels of the company, influence points of view, and work towards consensus.
  • Effectively communicate complex legal concepts in concise business terms.
  • Excellent negotiation, drafting and communication skills.
  • Demonstrated ability to serve as a member of cross-functional teams, keeping all legal tasks organized and stakeholders clearly informed of deliverables and timelines.
  • Knowledge and ability to handle topics relevant to highly regulated industries (e.g., med device/med tech, biotech, and/or healthcare).

EDUCATION:

  • Juris Doctorate degree from an accredited law school.
  • Active membership in good standing in at least one state bar.
