Position Summary:

MarshBerry is currently seeking a Corporate Attorney for our Beachwood, OH office. The Corporate Attorney is responsible for providing a wide range of legal support across MarshBerry’s business in the U.S. and Europe. The Corporate Attorney will provide or arrange for legal counsel in areas such as contracting, corporate governance, employment matters, privacy, compliance, litigation, and other areas as assigned.

Responsibilities:

  • Partners with leaders of business units to support their legal needs and ensure compliance with applicable laws that impact our business.
  • Review, draft, and negotiate contracts (with customers, vendors, employees, etc.) on behalf of the company. Ensure contracts comply with legal requirements and align with company’s interests.
  • Provide or arrange for legal counsel in the following, but not limited to,
    • Corporate governance: Advise on corporate governance matters such as governance best practices, board matters, and compliance with corporate laws.
    • Employment matters: Advise on employment law matters. Assist in resolution of employee-related legal issues.
    • Regulatory Compliance: Collaborate with Compliance team on FINRA compliance activities in the U.S. and similar needs with regulatory bodies in Europe.
    • Litigation: Manage and oversee legal proceedings, including litigation and dispute resolution. Collaborate with external legal counsel when necessary.
  • Partner with outside legal counsel where needed and manage legal budget for insourced and outsourced work.
  • Conduct legal research, analyze complex legal issues, and provide recommendations and strategies to mitigate legal risks.
  • Ensure effective record keeping systems for all contracts and other legal-related areas of the business.
  • Develop and implement necessary risk assessment reviews including internal audits to ensure we remain in compliance with applicable laws and industry standards.
  • Provide advice and training to company’s management and employees regarding applicable regulations and company policies.
  • Maintain working knowledge of applicable regulatory requirements and court decisions and advise leaders appropriately.
  • Assist the Financial Advisory Team with projects as requested, including due diligence services, offering memorandum preparation and review, contract engagement reviews, and other related tasks.
  • Any other special projects, tasks and duties as assigned.

Selection Criteria

Education & Experience:

  • Juris Doctorate Additional related Professional Designations or Certifications are a plus.
  • 5-7 years of legal experience with a law firm or in-house role. Financial services and international experience are a plus.
  • Proficient in Microsoft Suite.
  • Excellent communication skills, both oral and written. Should have the ability and experience to draft clear and professional correspondence, policies and procedures and other documents of both legal and business nature.
  • Demonstrates industry business acumen.
  • Strong analytical and proactive problem-solving skills: deploys techniques to identify and resolve issues in a timely manner, gathers and analyzes information skillfully.
  • Maintains confidentiality of proprietary information and that of clients.
  • Organized with demonstrated attention to detail; able to manage, prioritize and bring to completion multiple projects. Strong attention to detail and extreme organization is pivotal for this position.
  • Displays strong moral and ethical fortitude, prescribing to the values, standards and policies of MarshBerry.
