Overview:

The Legal and Business Affairs department handles a wide variety of matters, including providing legal advice to all corporate teams, drafting and negotiating contracts, and developing workflows.

Counsel will report to the VP, Head of Legal.

Duties and Responsibilities:

  • Counsel will draft contracts and manage the contract drafting and retention process. Contracts include publishing and author agreements, technology agreements, data privacy agreements, customer agreements, independent contractor agreements, licensing agreements, employment agreements, and distribution agreements.
  • Counsel will provide legal advice to – and draft contracts for – all corporate teams including editorial, design, RFP and adoptions, production, marketing, technology, sales, professional development, finance and human resources.
  • Manage the contract lifecycle management (“CLM”) system, including reporting of contract details and developing CLM workflows.
  • Work within and outside the Legal and Business Affairs department to ensure compliance with contractual terms.
  • Conduct legal research relating to copyright, trademark, privacy, and employment matters. Draft memoranda or emails explaining findings.
  • Assist the RFP & Adoption team in reviewing terms of requests for proposals and bids issued by school districts nationwide.
  • Review and edit the work of contract managers.

Job Requirements/Skills & Experiences:

  • Juris Doctor degree.
  • Licensed to practice law in the State of New York.
  • 2-5 years of legal experience at a law firm or in-house, with a preference for some experience working as in-house counsel.
  • Experience working in and managing a CLM.
  • Experience drafting and negotiating publishing and author agreements, licenses, technology agreements, and independent contractor agreements.
  • Familiarity with copyright law preferred.
  • Experience with international distribution and partnership agreements a plus.
  • Familiarity with federal and state privacy laws (e.g., FERPA, COPPA, SOPIPA, etc.) a plus.
  • Ability to be proactive, prioritize, and work under tight deadlines in a service-oriented and aggressive sales-driven environment.
  • Excellent verbal and written communication skills, editing and document preparation skills, and high attention to detail required.
  • Proven success in collaborating across teams.


Salary Range: $120,000 - $130,000

*The base salary range represents the low and high end of the expected salary range for the position. The base salary offered may depend on a variety of factors such as geographic location, experience, education, and skill level.

*This position is bonus eligible.
