Protos Security is looking for an onsite Junior Commercial Counsel to join our dynamic legal team! This role is a great opportunity for an attorney with a passion for contracts, excellent problem-solving and relationship building skills, and an ability to thrive in a fast-paced, cutting-edge environment. The primary responsibility will be to review, draft, advise, and negotiate customer-facing sales contracts of all levels of complexity. In addition, you may be called upon to provide a variety of other general commercial legal services to the organization and its constituents. The ideal candidate will have excellent communication skills to interface with the sales team, cross-functional teams, and external customers.

Essential Duties & Responsibilities:

  • Support Sales teams in reviewing Non-Disclosure Agreements (NDA), Requests for Proposals (RFP), Statements of Work (SOW), Master Services Agreements (MSA) and related Amendments and Addenda; preparing, communicating and negotiating exceptions to proposed contract terms within corporate guidelines, where applicable, and assisting ancillary information requests related to contractual and business matters.
  • Review and negotiate, as needed, Sales Contracts, Purchase Orders, Variations, etc. including those prepared on client contract templates.
  • Ensure that Sales contracts are in compliance with legal, regulatory and organization policies.
  • Evaluate needed contracting from a legal perspective to ensure protections of company liabilities while supporting the project teams’ management of customer and vendor relationships.
  • Contribute to team-level operations through virtual engagement toward continuous improvement initiatives and process support.
  • Perform other duties as assigned.

Qualifications & Experience:

  • University degree in law – JD\LLB\LLM equivalent and approximately 2-3 years of experience as a transactional attorney; business/commercial attorney; or in a procurement or contracts role for an in-house legal department.
  • Demonstrated knowledge/course work in transactional drafting, corporations law, commercial law, contract drafting and processes, negotiation.
  • Excellent negotiation, drafting, and communication skills with the ability to support sales departments.
  • Strong contract reading comprehension and interpretive skills.
  • Exceptional attention to detail with the ability to analyze and restate legal terms and concepts in relation to the business needs.
  • Strong work ethic and ability to multi-task, prioritize, and follow-through on numerous projects.
  • Willingness to assume responsibility and adaptability for the role, including problem-solving independently and while displaying a sense of urgency to the business.
  • Ability to prioritize workload based on value of business to Protos versus complexity of negotiation while working to month-end and quarter-end sales deadlines.
  • Highly responsive with a service-oriented attitude with the ability to give succinct, commercially-driven legal advice.
  • Ability to work in an organized, detailed manner under tight deadlines.
  • Ability to develop and implement trainings for various level stakeholders.
  • Advanced knowledge in Microsoft Office (Word, Excel, PowerPoint).
  • Prior knowledge of contract lifecycle management software and/or ticketing systems a plus.
  • Experience with litigation and/or labor and employment matters a plus.
