Medline has an immediate opening for a Privacy Counsel based in our corporate offices in Northfield, IL. As Privacy Counsel, you will perform a variety of privacy law-related legal activities, as described in more detail below, in accordance with the established standards of the legal profession to protect the organization's reputation and business interests and help ensure it complies with applicable and relevant privacy laws and regulations. Provide legal advice to ensure activities, policies, business practices, and transactions comply with applicable and relevant privacy laws and regulations.

MAJOR RESPONSIBILITIES

  • Provide privacy counselling as needed to the business and functional divisions within the company in the area of contract administration, commercial transactions, employment and other areas.
  • Provide privacy expertise in support of negotiation and drafting of various business contracts, including vendor agreements, customer agreements, services agreements, license agreements, development agreements and confidentiality agreements.
  • Represent the organization in privacy-related legal proceedings before courts, government agencies, or other authorities so the organization's interests are protected.
  • Supervise and participate in privacy-related litigation and dispute resolution, including the preparation of responses to government investigations and other formal process.
  • Assist in preparing and reviewing legal documents prior to execution to accurately convey the company’s intent, considering privacy obligations. Participate in acquisition and development activities.
  • Review and approve public statements from a legal standpoint to identify, anticipate and mitigate legal risks. Review legal publications and pending legislation; advise management of changes that impact the company. Emphasis on privacy law.
  • Act as a privacy subject matter expert and support preparation of legal contracts, letters of agreement, and other documents related to a variety of trade, commercial, financial, and operational matters (e.g., loans, leases, purchase agreements, acquisitions, divestitures, employment contracts) to protect the organization's legal and business interests.
  • Analyze and interpret privacy-related case law, court reports, and proposed and existing laws and regulations to prepare technical reports on how they impact the organization's operations. Prepare materials for external legal counsel.
  • Develop and maintain a complete understanding of company policies and participate in the administration of those policies, and in particular, participating with Human Resources and Compliance in the administration of company policies and handbooks. Take active role in creation of privacy-specific policies and support training and awareness efforts across enterprise.

Minimum Job Requirements

Education

  • Juris Doctorate granted by an ABA accredited law school.

Certification / Licensure

  • Member of a state bar in good standing.

Work Experience

  • At least 4 years of experience providing privacy related legal counsel at a law firm or corporation or government agency. Experience developing legal strategy and tactics for complex, high profile matters.
  • Experience providing legal advice to senior executives and other senior leaders.

Knowledge / Skills / Abilities

  • Ability to work effectively with governmental and other regulatory agencies to protect the best interests of the system.
  • Experience diagnosing, isolating, and resolving complex issues and recommending and implementing strategies to resolve problems.
  • Experience working with cross-functional teams and facilitating teams to identify and implement solutions to complex problems.
  • Experience using time management skills such as prioritizing/organizing and tracking details and meeting deadlines of multiple projects with varying completion dates.
  • Highest level of integrity and professionalism.
  • Excellent written and verbal communication and interpersonal skills and the ability to communicate effectively with all levels of employees and other stakeholders, which is necessary to collaborate with staff/management/executives/other organizations.
  • Strong analytical and interpersonal skills and cross cultural competencies.
  • Position requires travel up to 20% of the time for business purposes (within state and out of state).
