The Legal, Compliance, and Corporate Affairs (LCCA) team is seeking a highly motivated attorney to assist with financing transactions, corporate governance, and other corporate transactional matters in a fast paced, high-energy environment. This is a fiduciary role that helps ensure GHX complies with relevant laws and regulations. The Senior Counsel, Corporate and Governance, will monitor and advise on trends in business performance, evolving regulatory requirements, and best practices for governance and disclosure. The individual in this role will work closely with senior leadership and key leaders in the LCCA to draft and maintain corporate documents; negotiate and draft agreements; identify and resolve legal issues; and develop efficient legal processes; all while balancing legal and business needs and risks. The Senior Counsel, Corporate and Governance, will have the opportunity to work as a corporate generalist and build an array of critical corporate legal skills.

Principal duties and responsibilities:

  • Reporting to VP, Deputy General Counsel, you will serve as a trusted adviser on a range of corporate legal matters. You will also work closely with the General Counsel and Corporate Secretary on corporate governance matters.
    Support the preparation and organization of materials for Board and Committee meetings.
    Manage the preparation and maintenance of corporate documents.
    Advise on the Companys corporate financing matters and debt-related reporting obligations.
    Support the preparation of executive compensation related matters, including equity offerings and repurchases.
    Assist with corporate transactions, including mergers and acquisitions, financing, and other strategic transactions, including liquidity events.
    Advise on relevant disclosure requirements associated with evolving environmental, social, and governance (ESG) topics and assist the team in building GHXs ESG program.
    Draft, negotiate and interpret non-disclosure agreements (NDAs), letters of intent (LOIs), and other corporate agreements.
    Support subsidiary management of corporate affiliates.
    Support the VP, Deputy General Counsel on other corporate matters as needed, including issues related to human resources, risk management, corporate development, and other strategic initiatives.
    Provide legal support for ad-hoc projects coming from various departments, including Treasury and Accounting.

Required Qualifications:
J.D. required.
Admission to, and in good standing in, any state bar in the United States.
A minimum of 5 years of general corporate experience, preferably including substantial law firm experience.
Familiarity with mergers and acquisitions and/or strategic corporate transactions, including support of structuring transactions and overall due diligence.
Experience working at or with public and/or private equity-backed corporations.
Excellent analytical, interpersonal, and presentation skills.
Ability to communicate effectively in writing and in person to all levels of the business, including senior management.
Ability to be nimble and adaptable to a variety of legal questions and concerns.
A high integrity, low ego, team player who takes a collaborative approach to problem solving.
Hard working, well organized, self-motivated, and able to work independently.
Ability to manage and prioritize requests and oversee and improve complex business and legal processes under time pressures and deadlines in a fast-paced environment.
Excellent academic credentials.

Preferred Qualifications:

  • Securities regulation experience.
  • Executive compensation experience.
  • Understanding of technology transactions and delivery of SaaS products.
  • Prior in-house, corporate legal department experience a plus, but not required.

    The compensation range for Senior Counsel, Corporate and Governance is $185,000 - $210,000.

The base salary range represents the anticipated low and high end of the GHXs salary range for this position. Actual salaries will vary and will be based on various factors, such as candidates qualifications, skills, competencies and proficiency for the role. The base salary is one component of GHXs total compensation package for employees.
