Nouria Energy Corporation is a multi-generational family-owned wholesale fuel distributor, convenience store operator and car wash operator in New England. Our wholesale and retail fuel businesses are multi-branded, which includes Shell, Mobil, Irving, Sunoco, Gulf, Valero, Citgo, Phillips 66, Exxon, and multiple unbranded brands. Our wholesale operations supply branded and unbranded fuel to 300+ locations across New England and New York. We are ranked within the top 50 largest convenience store chains in the country, operating 150+ company-operated locations throughout New England and ranked within the top 10 largest car wash chains in the country

GENERAL SUMMARY

Nouria is a rapidly growing retail convenience/gas store operator, quick service food provider, and fuel wholesaler. Our retail and wholesale fuel businesses include Shell, Mobil, Irving, Sunoco, Gulf, Valero, Citgo, Phillips 66, and 76 Brand. We own and operate over 150 convenience stores and 53 car washes throughout New England, with 33 co-branded food offerings and 22 proprietary food service offerings. We also serve as a wholesale fuel provider to a growing network of over 150 franchisees and dealers.

As a convenience store and car wash operator, Nouria has an ever-expanding portfolio of real estate, owned and leased. We also have numerous co-brand tenants in our stores, such as Dunkin, Subway, Honey Dew, Mary Lous, and McDonalds. We have doubled our size in the past five years and plan much more growth in the immediate future. Our goal is to quadruple in the next ten years.

The position of Corporate Counsel will join Nourias recently established in-house legal department, currently comprised of a General Counsel, a Paralegal, and Legal Interns. The department is multi-faceted actively handling (or overseeing outside counsel) all legal aspects of M&A, real estate, contracts, finance, litigation, employment, trademarks, and corporate governance.

Although Corporate Counsel is expected to be (or become) a generalist, the ideal candidate will have 1 3 years experience in transactional real estate, including leasing, purchase/sale transactions, permitting, and title work. The candidate should be a self-starter with strong project management and interpersonal skills, the ability to work well with a team, excellent judgment, and the ability to juggle multiple projects effectively. The candidate need not have experience in all responsibilities below, but should have an interest in learning/participating in these areas:

RESPONSIBILITIES

Review, draft and negotiate real estate contracts, including leases (landlord and tenant) and purchase/sale transactions.

Survey/title review.

Advise on permitting/zoning matters.

Assist with reviewing, drafting, negotiating, and management of a wide range of commercial contracts, including goods/services agreements, statements of work, standard form

agreements/templates, and NDAs.

Manage corporate governance, including entity formation/dissolution, resolutions, minute books, etc.

Advise on legal issues, including identifying and communicating risk and recommending solutions that balance risk and business objectives.

Advise and research employment law matters, such as wage and hour laws.

Oversee discrimination and harassment investigations, Draft position statements.

Assist in maintaining and updating company policies and procedures.

Manage litigation and review/prepare discovery responses.

Assist in M&A and financing transactions, including reviewing, drafting, and negotiating related documents and due diligence.

Assist and/or lead in special projects relating to the assimilation of the in-house department and/or for other departments managed or co-managed by the General Counsel, including

Risk/Claims Management, Safety, and Real Estate.

Perform additional duties as assigned by General Counsel or Management.

QUALIFICATIONS

J.D. from an accredited law school and active member of Massachusetts Bar.

1-3 years experience in transactional real estate at a law firm and/or in-house, including leasing, purchase/sale transactions, permitting, and title work (or strong desire to practice in this

area), a plus.

Desire to learn new practice areas and function as a generalist in a lean in-house environment of a rapidly growing/evolving organization.

Strong business acumen and desire to learn about our business and be a valued member of an interdisciplinary business team.

Practical and business-minded and able to present business partners with pragmatic advice in non-legal terms.

Excellent organizational skills and detail oriented.

Outstanding communication and interpersonal skills.

Ability to work independently, think outside the box, and take initiative.

Strong sense of urgency and results oriented.
