Job Description Title: Executive Director, Corporate Legal
Department: General Counsel
At Madrigal, we are committed to transforming treatment for patients with non-alcoholic steatohepatitis (NASH). NASH will soon become the leading cause of liver transplantation in the U.S., but there are currently no approved medications to treat the disease.

Madrigals lead candidate, resmetirom, is a once daily, oral, thyroid hormone receptor (THR)- selective agonist that is designed to target key underlying causes of NASH in the liver. Positive results from the first of two Phase 3 clinical trials of resmetirom in NASH were announced in January 2022; and results from a second Phase 3 clinical trial in December of 2022. We are excited to announce NDA Acceptance and Priority Review with an assigned Prescription Drug User Fee Act date of March 14, 2024 for resmetirom for the Treatment of NASH with Liver Fibrosis.

Opportunity and Summary of Position:

We are seeking an experienced individual withstrong securities law and corporate transactions experience to join our Legal team in either our Boston or Philadelphia office. The successful candidate will have extensive experience counseling public life sciences and/or biotech companies.Experience advising on complex transactions is preferred.This position will work extensively with members of the Companys legal, finance, and investor relations teams.

Position Responsibilities:

Provide primary legal support for public company reporting and SEC compliance
Provide advice regarding securities law disclosure/compliance, including Annual Reports Quarterly Reports on Form 10-Q, Current Reports on Form 8-K, SEC registration statements, the annual meeting proxy statement, and the annual meeting of stockholders
Provide legal advice and counseling with respect to equity-based compensation plans, executive compensation matters and Section 16 reporting
Provide securities law advice and compliance guidance for earnings releases, investor materials, management presentations and other communications.
Provide training on various corporate policies, including insider trading and Regulation FD
Manage and provide guidance on Madrigals internal processes for employee equity
Assist with providing legal support to Board of Directors and Board Committees, which includes advising on substantive legal matters, developing meeting agendas, and preparing materials for Board/Committee meetings
Assist with the corporate secretary function and various other corporate secretarial matters
Provide legal support on financing matters
Advise on other legal matters that arise across various functions within the company
Manage outside counsel as needed in connection with executing above responsibilities and duties
Qualifications and Skills:

Juris Doctorate and admission to a state bar (or eligibility for in-house counsel admission)
8-12 years legal experience across life science companies and large law firms
Demonstrated expertise in corporate governance matters and SEC compliance required
Demonstrated expertise and experience providing legal advice for complex transactions, license agreements or collaborations is strongly preferred
Outstanding communication and interpersonal skills, with strong ability to communicate across various functions
Exceptional judgment and interpersonal skills
Capacity to simultaneously handle a variety of complex legal matters with minimal guidance
