Surefox North America Inc, a veteran owned company, is committed to building a diverse and unique culture of highly skilled individuals. We are seeking a General Counsel to provide strategic leadership and legal advisory support. This is a full-time position at Surefox North America Inc.

Reports to:
The General Counsel will work with and report to the CEO and COO. This role requires a high level of integrity and professionalism in interacting with corporate leadership, Surefox personnel, outside counsel, and client contacts. The General Counsel will also serve as the Secretary for Surefox and any clients to which Surefox provides officer management services.

What you will do:

  • Manage the Office of the General Counsel, providing direct supervision of the attorneys, paralegals, and other professionals assigned thereto

  • Serve as the principal legal advisor to the CEO - providing direct counsel regarding task and department priorities, risk and mitigation, creative problem solving to accomplish, and insight regarding direct and unintended impacts of company business and policies on employees

  • Supervising and performing contract review to ensure all company contracts follow policies and legal guidelines

  • Ensure the company remains in compliance with industry employment and business process laws, the companys contractual obligations, and all current applicable case law, statutes, regulations, and licensing requirements

  • Review, advise, and manage labor and employment matters that arise

  • Manage any litigation or potential litigation under the guidance of the CEO to the extent that any such matters arise

  • Providing accurate legal guidance to the CEO and other senior leaders on all matters that affect the company

  • Manage the compliance, risk management, and legal services for the company

  • Attend legal counsel meetings related to the status of any matters impacting the future direction of the company, pending mergers and acquisitions, changes in policy, litigation matters, contract matters, and labor and employment

  • Lead the resolution of conflicts between employees within your departments and conflicts arising with other departments

  • Actively solve problems across your departments, areas of responsibility, and Surefox while optimizing business profitability, care for employees, relationships with clients and vendors, and company values

  • Lead a team of highly qualified attorneys and paralegals, ensuring individual workloads managed appropriately in accordance with company and General Counsel priorities

  • Oversee the Compliance Department with the assistance of the senior Compliance leader, accomplishing all company priorities while ensuring individual and team welfare

  • Assist in the supervision of both the Human Resources Department and the Benefits team to accomplish all company priorities while maintaining a professional environment

  • Synchronize all managed and supervised departments internally and externally to ensure productivity and excellence across the company as well as with client and vendor engagements

  • Supervise and coordinate all outside counsel communications and actions as necessary to accomplish company objectives within forecasted budget to ensure legal expenses are managed efficiently

  • Ensure that the company's legal interests are protected and its rights are preserved

  • Provide strategic and tactical legal advice and guidance on a wide range of legal issues to the company's management, board of directors, and other stakeholders

  • Draft, review/revise, and negotiate contracts and other legal agreements such as joint ventures, partnerships, licenses, and employment contracts

  • Represent the company in legal proceedings and negotiations and serve as a liaison with regulatory and governmental agencies

  • Stay current on changes in the legal landscape that may affect the company and proactively address any legal risks

  • Advise on legal risk management and crisis management strategies, and ensure that the company's interests are protected in all legal matters

Corporate Secretary - Corporate Governance

  • Serve as a trusted advisor to the board and executive team on corporate governance matters including compliance with legal and regulatory requirements and best practices

  • Manage the company's governance framework including: developing and maintaining policies and procedures related to board processes, shareholder engagements, and other governance areas

  • Facilitate effective communication between the board, management, and shareholders, including organizing and preparing materials for board meetings and serving as a point of contact for shareholders

  • Ensure that board processes and procedures are efficient and effective, including managing conflicts of interest, overseeing board evaluations, and supporting the selection and onboarding of new board members

Equity and Equity-Like Comp Plan

  • Advise on design, structure, and administration of equity and equity-like compensation plans, including stock options, restricted stock units, phantom stock plans, and employee stock purchase plans

  • Ensure compliance with relevant securities laws, including the issuance and registration of stock options and restricted stock units

  • Coordinate tax advisory service to provide counsel on the tax implications of equity and equity-like compensation plans and ensuring that the plans are structured to minimize tax consequences for the company and its employees

  • Negotiate and draft plan documents, grant agreements and other legal agreements related to equity and equity-like compensation plans

  • Provide guidance on the implementation and administration of equity and equity-like compensation plans, including the issuance of stock options and restricted stock units, the calculation of plan expenses and the preparation of financial statements and other disclosure documents

  • Represent the company in discussions with employees, employee representatives, investors, and other stakeholders regarding equity and equity-like compensation plans

  • Ensure that equity and equity-like compensation plans are in compliance with applicable laws and regulations and are administered in accordance with their terms

What is required:

  • Must be eligible for employment within the United States

  • Must be able to pass an extensive background check and drug screening (Surefox will consider for employment qualified applicants with criminal histories in a manner consistent with all requirements of State and local laws, regulations or codes)

  • Must have a law degree (J.D.) from an ABA accredited law school

  • Must be admitted and in good standing to a recognized bar

  • Must have 7+ years of relevant legal experience gained in large law firm and/or in-house with major law firm or government agency

  • Strong interpersonal, presentation, and customer service oriented skills, as well as the ability to communicate effectively with others at all levels and from various backgrounds - both within the company and outside the organization

  • Strong negotiating skills with both legal and financial/commercial issues

  • Ability to work independently with little or no supervision or as a part of a team

  • Excellent knowledge and understanding of corporate law and procedures

  • Full comprehension of the influences of the external environment of a corporation

  • Demonstrated ability to create legal defensive and proactive strategies

  • High degree of professional ethics and integrity

  • Must have good judgment skills with the ability to make timely and sound decisions

  • Must be able and willing to understand and follow written and verbal instructions as given by supervisory and managerial personnel
