SHINE Technologies is immediately seeking a General Counsel. As a member of the Company’s Executive Team reporting to the Chief Executive Officer, the General Counsel & Corporate Secretary will manage the performance and foster the professional development of the members of the Legal Department, while setting the long-term strategy, priorities, and budget of the Department. The General Counsel & Corporate Secretary will help ensure that the Company and its employees stay in compliance with applicable laws and regulations, advise and liaise with the Board of Directors and Executive Team on strategic initiatives and projects, and handle the most sensitive and important legal matters of the Company.

Duties and Responsibilities:

Provide legal counsel to the Board of Directors and Executive Team, including:

Legal Strategy

Oversee the delivery of legal services and resources to achieve Company goals, strategies, and priorities;

Maintain a deep understanding of the Company's business and industry and provide leadership in strategic business decisions from a legal perspective;

Oversee M&A and strategic Company initiatives;

Legal Department Leadership and Management

Manage, develop, and mentor the Legal Team;

Establish and manage relationships with outside counsel;

Develop and oversee the Legal Department budget and spending;

Corporate Governance and Compliance

Prepare and distribute communications and materials for all meetings of the Board of Directors and its Committees, and draft minutes and resolutions for the same;

Prepare and distribute communications and materials for all Stockholder meetings, and draft minutes and resolutions for the same;

Draft communications and written consents for the Board of Directors and its Committees, and Stockholders;

Draft and revise the corporate charter, bylaws, stockholders’ agreements, and other corporate organization documents, and prepare all corporate filings;

Help ensure the Company’s compliance with all applicable laws, regulations, and standards in the United States and international jurisdictions where the Company operates;

Specifically oversee the trade compliance program and associated trainings, and monitoring and auditing of the same;

Support the development of training materials, guidance documents, and relevant employee and contractor training;

Implement effective risk management techniques and offer proactive advice on possible legal issues;

Legal Department Operations

Provide expert legal advice to the Board of Directors and Executive Team on a variety of legal topics, domestically and internationally, including on corporate governance and organization, contracts, employment laws, financing, dispute resolution and litigation risks, intellectual property, and compliance and regulatory matters;

Draft, review, and negotiate major operational contracts, including customer, supplier, distributor, consultant, contractor, and employment contracts;

Draft, review, and negotiate critical financing contracts, including for private placements, debt restructurings, and governmental grants and loans;

Draft, review, and negotiate strategic contracts, including for joint development, licensing, partnerships, technology transfers, and M&A;

Advise the HR team on federal, multi-state, and international employment law and executive compensation;

Oversee management of the company’s intellectual property portfolio and conduct marketing reviews;

Advise on the company’s insurance portfolio and manage its litigation docket; and,

Represent the company in legal proceedings.

Requirements

J.D. from an accredited law school;

Licensed to practice law in the state of Wisconsin, or eligible for admission on motion or registration as in-house counsel;

Over 15 years of prior experience at a top law firm or in-house, including at least 5-years of prior in-house counsel experience;

Demonstrated ability to foster high-performing teams and develop and motivate team members with collaboration, skillful delegation leading to development opportunities, and transparency;

Ability to anticipate, de-escalate, and resolve disagreements and complaints in a practical and constructive manner in order to achieve results;

Ability to think strategically, anticipate potential problems, and design creative, out-of-the-box solutions;

Experience working with global organizations in a highly regulated environment, preferably in both the public company and private startup company context;

Experience with private company exits, whether through M&A or going public, preferred;

Excellent negotiation skills with experience managing complex deals and agreements;

Proven experience in corporate governance, risk management, and compliance;

Ability to critically evaluate a wide range of issues and provide sound legal advice;

Ability to quickly learn complex concepts and make difficult judgments in the best interests of the Company and its Stockholders;

Ability to convey information accurately and appropriately to different audiences, including to the Board of Directors, Executive Team, employees, and various third parties; and

Can effectively manage a high volume of work through various methods of organization, project and task management, and prioritization, as needs evolve.

Eligibility for employment is conditioned on the applicant’s ability to qualify for access to information subject to U.S. Export Controls. Additionally, applicant’s eligibility may be conditioned based upon meeting the Nuclear Regulatory Commission requirements for access to Safeguards Information, which typically requires a pre-employment drug screen, fingerprinting and criminal background check.
