ESSENTIAL DUTIES AND RESPONSIBILITIES: include the following:

  • Work to ensure that everyone inside the Yard, own as well as subcontractors, are safe and are performing their work in accordance with our CORE-values.
  • Ensure that all PSI safety procedures, rules and regulations are followed and met.
  • Provide legal support and advice on commercial contracting, labor and employment, litigation, corporate, securities, governance and compliance matters.
  • Advise business colleagues on legal issues and risks, review and prepare commercial contracts, oversee legal disputes and claims, and develop and implement company policies and procedures.
  • Provide General Counsel regarding compliance with applicable laws and regulations.
  • Review, draft and negotiate a broad range of commercial contracts, including customer sales, supply, non-disclosure, procurement, employment and consulting agreements.
  • Serve as a generalist advising business leaders directly (or with outside counsel) on commercial, litigation, labor and employment, and compliance matters.
  • Participate in the development of corporate policies, procedures and programs.
  • Ensure compliance with applicable laws and regulations, contracts and financing agreements.
  • Advise on all aspects of day-to-day legal issues.
  • Manage and supervise outside counsel effectively and efficiently.
  • Support and assist the General Counsel with commercial matters, contracts, corporate governance matters, stock exchange reporting requirements and strategic initiatives.
  • Provide additional support and assistance to the General Counsel on all other matters.

QUALIFICATIONS:

The successful candidate should have the following experience:

  • A minimum of 5-7 years’ experience as a practicing lawyer, preferably initially with a prominent national law firm.
  • Significant experience advising businesses on commercial matters.

Experience in the following areas is a plus: government contracting, construction law. The successful candidate should have the following skills:

  • Ability to communicate effectively both orally and in writing
  • Strong interpersonal skills
  • Excellent judgment and ability to resolve complex issues effectively
  • Strong drafting, negotiating and business and analytical skills
  • Strong organizational skills; attention to detail
  • Ability to quickly identify and analyze problems to form an opinion and offer practical advice
  • Able to work effectively in both team and independent settings
  • Able to manage multiple tasks simultaneously and efficiently
  • Able to prioritize conflicting demands from multiple internal clients
  • Skilled at balancing business and legal needs
  • Highly motivated and confident self-starter who can prioritize and lead multiple tasks independently and efficiently under deadline pressure.
  • A trusted advisor with strong business acumen, work ethic and decision-making capability.

EDUCATION:

  • D. degree from an accredited law school and an active bar membership in at least one US jurisdiction required.
  • Minimum of five-seven (5-7) years’ of experience in a law firm and/or in-house environment.
  • Excellent undergraduate and law school academic credentials.
