Securities (SEC) and Corporate Attorney

The ideal candidate is a business-minded corporate and securities lawyer with 5+ years of experience at an Am Law 100 firm who has broad experience with public company matters, especially biopharma companies, including securities and finance, mergers and acquisitions, Nasdaq compliance and corporate governance. More specifically, a successful candidate will have knowledge and experience with registered securities offerings, PIPEs, SEC regulations generally, 33 Act Registration Statements, 34 Act periodic filings, mergers & acquisitions, general corporate law and corporate governance matters, strong research and verbal and written communication skills, good leadership, organizational, time management, and multitasking skills.
Responsibilities:
- Excellent critical thinking, analytical, reasoning, and negotiation skills
- Handle complex legal matters and provide legal advice on a variety of commercial transactions.
- Ensure the timely satisfaction of SEC and Nasdaq compliance and reporting obligations, including proxy statements, periodic reports on Forms 10-K and 10-Q, preparation of S-1, S-3 and S-4 registration statements, 8-K reports, and Section 16 officer reporting.
- Work on corporate governance and board matters, including preparation of board materials, minutes, resolutions, unanimous written consents and updates to corporate charters and policies.
Job Requirements:
- JD from an ABA-accredited Law School required
- Active bar license in the US and in good standing
- 5+ years of public company securities and general corporate law work, preferably at an Am Law 100 firm
- Experience with bylaws, board minutes, Nasdaq compliance, corporate disclosures, and proxy statements
- Experience in the biopharma industry a strong plus
