YOUR ROLE

Reports to the Senior Vice President of Legal & Risk Management, includes responsibilities focused on the drafting and negotiation of complex customer commercial contracts, focusing on CEVAs contract logistics service products and with opportunities to expand to other freight management service products.

WHAT ARE YOU GOING TO DO?

  • Responsible for owning the contracting cycle for complex commercial customer contracts from initial draft to execution - leading the contractual review, for compliance with applicable laws and regulations, company's business policies and strategies and support internal company approval process.
  • Draft and negotiate key and/or complex commercial customer contracts, including those with executive level visibility and priority.
  • Serve as initial point of contact for legal questions regarding century customer and agreements with multi-national customers.
  • Understand business requirements and the company's risk tolerance, and provide timely, thoughtful, ethical, and practical written and oral product, business, and legal/risk counseling, judgment, and support on various legal risks, business strategies, and other issues related to products/services, commercial transactions, and general operations to business development, operations, and other internal teams.
  • Analyze complex legal and commercial issues, advocating for CEVAs interests.
    Contribute to the design, build, maintenance of commercial transaction workflows in CLM platform and to updating commercial legal playbook.
  • Manage and resolve complicated issues related to commercial deals, and drive alignment with various cross-functional teams.
  • Assist on legal aspects of CEVAs transactional matters including areas of real estate, vendor and procurement agreements, as well as other service product areas.

Resource Management:

  • Manage outside counsel on pre-litigation commercial matters, including oversight and budgeting of the invoices for same. Overuse of outside counsel has a direct impact on the legal department budget affecting the departments overall annual goals as well as the overall bottom line of the company.
  • Help build, streamline, and operationalize CEVAs contract management tool/process to help save the legal team resources (time, cost, and limit risk).

WHAT ARE WE LOOKING FOR?

Education & Experience

  • J.D. and membership in at least one U.S. state bar
  • Strong academic credentials

Experience

  • 3 - 5 years of transactional expertise in a law firm or in-house legal department
  • Intellectual curiosity and desire to expand areas of knowledge and participation as the business may require

Specialist Knowledge & Skills:

  • Ability to work on multiple issues and set appropriate priorities with clients and delivery results efficiently
  • Provide ability to provide entrepreneurial, pragmatic, business-oriented advice with a dedication to superior customer service
  • Highly organized, reliable, detail-oriented, and diligent
  • Excellent contract writing skills
  • Experience and knowledge of Contract Logistics and/or Supply Chain
  • Proven success working effectively across business units and internal functions to efficiently resolve complex business and risk management issues
  • Familiarity working across the globe, working with multiple time zones and cultures

Interpersonal & Communication Skills:

  • Outstanding written and verbal communication skills with the ability to advocate for a position while maintaining a collaborative and open-minded approach.
  • Ability to operate autonomously while being a team player and customer service oriented.
  • Building trustworthy relationships with internal clients.
  • Exhibit all professional decorum as behooves a legal professional, including but not limited to, maintaining confidentiality, courtesy, candor, and cooperation.
