Position Summary

The Associate Legal Counsel (Lending) primary responsibility is providing legal services that support the core commercial/real estate lending activities of the Momentus Capital branded family of companies, principally those of Capital Impact Partners. The Associate Legal Counsel (Lending) may also assist with other types of commercial or corporate financial transactions including mezzanine and/or preferred equity, or asset-backed financing, equity investments or joint ventures. Additionally, the Associate Legal Counsel (Lending) may also assist with corporate, regulatory, compliance, employment, tax, risk management, loss mitigation, litigation or Legal Department matters as needed. This position is in the Legal Department and reports to the Legal Counsel (Lending).

Essential Responsibilities

  • Document, negotiate and manage all legal aspects of loan transactions from origination to closing, as well as post-closing and asset management matters, including loss mitigation, in accordance with industry standards, internal policies and procedures, relevant programmatic requirements and best legal practices.
  • Assist loan officers with legal issues related to proposed loan transactions, including transaction memoranda, credit committee presentations and loan commitments.
  • Manage or oversee transaction pipeline and reporting, including asset management matters such as loan amendments and modifications.
  • Draft and provide sample closing checklists and other loan closing documentation.
  • Conduct due diligence review and assessment of all aspects of the transaction, including collateral for each loan and organizational/corporate structure and status of borrowers and related parties. For real estate loans, this includes review and analysis of documents such as environmental reports, zoning reports, title insurance, surveys, property encumbrances and entitlements, leases, management contracts, governmental regulations and requirements.
  • Manage title companies or other escrow agents and other transaction parties.
  • Provide instruction and advice to closing department during the closing process.
  • Maintain accurate legal files relating to each transaction, including storage of draft and final loan documents, updated closing checklists and all due diligence items.
  • Engage and supervise outside counsel as needed

Professional Skills, Education and Experience

  • J.D., relevant state bar admission, and at least 7years of experience as a practicing attorney required
  • Experience negotiating and closing complex commercial real estate finance transaction in a fast-paced environment under tight deadlines
  • Familiarity with the capital markets and securitization is a plus
  • Proactive in identifying and resolving issues, an ability to demonstrate common sense and exercise sound judgment under a variety of circumstances
  • Excellent communication, decision quality, interpersonal skills and a high level of attention to detail
  • Able and willing to work collaboratively on cross-functional teams in an efficient and productive manner
  • Understand and follow complex workflow processes and corporate policies
  • Possesses an interest in and willingness to learn new skills
  • Proficient in Microsoft programs (e.g., Word, Excel, PowerPoint) and Google suite (e.g., Google Docs, Sheets)
