Corporate Counsel

JOB DESCRIPTION

Job Purpose:

The Corporate Counsel will report to and support the Chief Legal Officer with a diverse range of responsibilities, primarily focused on commercial transactions. The Corporate Counsel handles myriad responsibilities in support of Edgios edge-enabled software solutions and related business. We move at a rapid pace and seek a talented lawyer to join our team who can keep pace, while providing exceptional legal services. The ideal candidate will primarily support Edgios global sales and procurement organizations. Additionally, our small, but necessarily nimble team must support all areas of our business. The successful candidate will join us in providing high-quality legal counsel and services in support of all areas of our innovative and growing business.

Essential Functions:

• Advising on and structuring, reviewing, drafting, negotiating, and managing contracts including commercial contracts for services, consulting agreements, network and infrastructure procurement agreements, and a wide-range of vendor agreements.
• Providing high-quality legal counsel to our internal partners including research and development, network operations, human resources, marketing, strategic initiatives, and finance functions, as well as supporting special projects and Edgios global regulatory compliance, governance, ethics, and risk management efforts.
• Keeping abreast of changes in law, conducting legal research, and providing prompt and concise legal counsel to all levels of management.
• Work on special projects, as needed, and improving internal processes.

Qualifications:

Experience and Education (minimums):

• Juris Doctor (JD) from an ABA accredited law school.
• Active US bar membership.
• 3-5 years of attorney experience, predominately in corporate or transactional practice from a law firm, in-house, or a combination of both.
• Contract drafting, litigation and negotiation experience required.
• Experience in the Internet space or similarly complex industry is a plus.
• Securities regulatory filing experience is a plus.
