Your Contribution:

  • Draft, review, interpret and negotiate original, revised and termination/settlement agreements on commercial contracts primarily with health care provider customers and business partners, such as vendors, value added resellers, partners, real estate transactions and other contracts as assigned.
  • Consult with and manage outside counsel on major contract or commercial matters and provide oversight on contract or intellectual property related litigation.
  • Take steps to protect companys intellectual property, such as drafting cease and desist correspondence.
  • Provide reasonable and appropriate advice and counsel on risks, potential legal liabilities and providing frequent status updates, as well as anticipating and responding to or escalating legal issues that could impact the company.
  • Provide training to company personnel on legal issues as assigned.
  • Support compliance with legal and regulatory requirements.
  • Monitor and advice company of relevant changes in law, policy or guidance in health care and technology industries.
  • Develop and maintain contracting manual with policies and procedures that may involve use of company supplied contract management software.


Your Qualification:

  • Juris Doctorate degree from an American Bar Association accredited law school.
  • Minimum of 3 years of legal experience required, with increasing degrees of responsibilities in contract drafting, negotiating and reviewing.
  • Currently licensed to practice law and in good standing in one or more U.S. states, qualified for admission to Texas bar strongly preferred.
  • Prior experience in at least one of the following a) in-house counsel, b) attorney for mid to large size firm in corporate, commercial or health care department, or c) prior experience working directly for health care software provider, health care provider, clearinghouse or insurer.
  • Working knowledge of HIPAA and business Associate Agreements, 21st Century CURES Act, or multi-state privacy acts.
  • Capacity to occasionally travel both domestically and internationally up to 10%
