Director, Assistant General Counsel - Corporate and Securities

Were looking for a Director, Assistant General Counsel - Corporate and Securities to join Snowflakes Corporate Legal team. This role reports to the VP, Deputy General Counsel - Corporate, Trust, and Employment and is based in Dublin, CA. This is an in-person role.

RESPONSIBILITIES :

  • Primary role in the preparation and review of SEC filings and related documents, including current and periodic reports, proxy statements, registration statements and Section 16 filings.
  • Responsible for corporate governance matters, including materials for board and committee meetings, resolutions, and minutes.
  • Manage board-level policies
  • Work closely with Investor Relations with respect to earnings releases and investor communications
  • Manage equity granted in connection with M&A transactions
  • Help administer our global employee equity program
  • Provide legal advice and support on other transactions and corporate maintenance activities of the company.
  • Help to develop, implement and continually improve company and team processes and procedures.

MINIMUM REQUIREMENTS :

  • JD from an accredited law school, membership in at least one state bar, and ability to practice in California.
  • 8+ years of experience preferred, including at least 4 years of corporate and securities work at a major law firm and in-house experience at a public company
  • Excellent management skills and business judgment with a capacity to make decisions and give advice.
  • Ability to explain complicated concepts in simple terms.
  • Strong organizational skills, flexibility, and ability to thrive in a fast-paced environment.
  • Attitude that no project is too big or too small.
  • Sense of humor and passion for the job

The following represents the expected range of compensation for this role:

  • The estimated base salary range for this role is $232,000 - $346,500.
  • Additionally, this role is eligible to participate in Snowflakes bonus and equity plan.

The successful candidates starting salary will be determined based on permissible, non-discriminatory factors such as skills, experience, and geographic location.
