GENERAL COUNSEL

Listed in the Inc. 5000 for multiple consecutive years as the fastest-growing Talent Management platform in America, we are seeking our first General Counsel is responsible for providing guidance on legal matters, corporate governance, and compliance. This is a fully remote position where you will work collaboratively across our teams in negotiating and drafting customer and vendor contracts, managing and protecting intellectual property, risk management, litigation management, employee relations, mergers and acquisitions, and the development of corporate plans and policies.

The base compensation for this position is between $175,000 and $200,000 annualized depending on experience and qualifications. This role is eligible for an additional compensation incentive in the form of an annual performance-based bonus, representing 20% of base compensation. A detailed bonus plan will be provided in writing at the time of offer.

WHO YOU’LL WORK WITH

The General Counsel will report to the Chief Financial Officer and interact with leadership and staff in every part of our business. You will join forces with our Finance, HR, and Leadership Teams to develop and guide ClearCompany’s legal strategy and contribute to our continued success in achieving our mission. This is a high visibility role. You will collaborate with cross-functional department heads as well board members, investors, and external stakeholders in a fast paced, high growth environment.

WHAT YOU’LL DO

Provide transactional support with customer master services agreements, statements of work, amendments and change orders, and non-disclosure agreements.

Manage vendor contracting process for all outbound transactions.

Providing general compliance-related legal support and regulatory guidance, customer compliance and regulatory audits, vendor qualification surveys, and related policies and standard operating procedures (“SOP”s).

Providing legal support and regulatory guidance in the areas of privacy and data protection law and compliance. This will include advising on contractual provisions in customer contracts, privacy-related policies, consent forms, and providing general legal advice in the areas of data privacy and security.

Manage merger and acquisition activities, including due diligence and post-acquisition integration strategies.

Co-lead supervision of corporate insurance matters.

Support People team in employment and benefits matters.

Advise on external publications pre-release, including press releases and case studies.

Provide oversight and guidance on customer disputes and bankruptcy matters.

Provide support in the areas of compliance training.

Identifying business and legal risks while providing solutions to balance legal issues and business objectives.

Developing a deep understanding of the business and operational goals while developing and maintaining positive relationships with external customers and internal clients at all levels of the organization.

Collaborate with project teams to drive execution of strategic projects related to business growth and expansion of service offerings.

Partnering with external legal counsel to provide advice on legal, regulatory, and compliance issues, and to drive projects to completion.

WHAT WE’D LIKE YOU TO HAVE

15+ years experience within a legal or compliance role.

Technology experience, with software-as-a-service is a plus.

U.S. J.D. degree is required.

US Privacy Professional Certification or the equivalent is preferred.

Comprehensive knowledge of US privacy law, as well as related state laws, is required.

Demonstrated ability to handle complex legal matters and provide practical solutions to mitigate risks.

Passionate about corporate law and eager to contribute to the success of a high growth organization

Full comprehension of the influences of the external environment of a corporation

Demonstrated ability to create legal defensive or proactive strategies

High degree of professional ethics and integrity

Sound judgment and ability to analyze situations and information
