Placement within this salary range depends on qualifications. This position is subject to the provisions of the County's Management Appraisal and Performance Plan (MAPP).

The Los Angeles County Employees Retirement Association (LACERA) administers and manages the $73 billion retirement fund for the County of Los Angeles. ABOUT THE POSITION:
The current vacancy in the Investments Section of the Legal Division is an important position of responsibility in support of LACERA's dynamic and well-regarded investment program, providing advice to investment staff and the Board of Investments, reviewing and negotiating agreements, and analyzing and addressing other complex investment issues relating to LACERA's diversified global portfolio. The Legal Division is comprised of a Chief Counsel, a Legislative Affairs Officer, Senior Staff Counsels, Staff Counsels, Legal Analysts, Legal Secretaries, and will soon add a Director of Compliance. Legal staff work in one of four sections: Litigation, Investments, Benefits, and Disability. This position will be in the Investments Section, reporting to Senior Investments Staff Counsel.

STAFF COUNSEL ROLE:
The Staff Counsel (Investments) position reports to LACERAs Senior Staff Counsel for Investments and Chief Counsel.
The role of Staff Counsel includes:
Providing investment professionals with legal advice relating to investment transactions, reviewing, drafting, and negotiating documentation for various investment transactions, including private equity, hedge funds, co-investment transactions, real estate, credit, and public markets, supervising outside counsel on investment transactions, legal support on a wide range of transactional matters, drafting memos, policies, and procedures to the Board of Investments, presenting to the Board of Investments, and drafting, reviewing, and negotiating commercial contracts relating to investments.

VACANCY INFORMATION:
The current vacancy is in the Investments Section of the Legal Division. The resulting Eligible Register can be used to fill both current and future vacancies throughout the Legal Division.

Work Schedule: This full-time position is required to work a 5/40 schedule (e.g. an eight (8) hour day, Monday through Friday). Four (4) years of experience in the practice of investments law.

LICENSE:
Admission to practice law in all courts of California **.

A valid California Class C Driver License or the ability to utilize an alternative method of transportation when needed to carry out job-related essential functions.

PHYSICAL CLASS II Light: Light physical effort which may include occasional light lifting to a 10-pound limit, and some bending, stooping or squatting. Considerable walking may be involved.DESIRABLE QUALIFICATIONS
Demonstrated firsthand experience independently drafting, reviewing, and negotiating:
Agreements relating to complex closed-end private equity fund and open-end fund investments.
Agreements with investment managers, advisers, consultants, and custodians relating to institutional investments and commercial contracts across various asset classes: , including without limitation:

  • Agreements relating to complex closed-end private equity fund and open-end fund investments, including private placement memorandums, side letters, limited partnership agreements, consents and amendments
  • Agreements with investment managers, advisers, consultants, and custodians relating to institutional investments and commercial contracts across various asset classes
  • Documents for co-investment and secondary transactions
  • Documents for real estate transactions
  • Documents for hedge fund transactions
  • Confidentiality agreements and non-reliance letters
Demonstrated experience in and ability to:
Provide legal advice to institutional investors, investment advisers, and other investment professionals.
Supervise outside counsel in investment related transactions.
Provide independent compliance advice, support, and oversight relating to securities trading.
Experience representing institutional investors and/or investment advisers at a major law firm strongly preferred.

Knowledge of: Knowledge of: legal principles and precedents as it relates to investment transactions and contract law such as the Investment Advisors Act of 1940, Dodd Frank Act, federal and state security laws related to private offerings, California public records and open meeting laws and disclosure requirements, laws governing California public pension fund systems, placement and lobbying restrictions, the Political Reform Act of 1974 and related regulations, computerized legal research tools such as Lexis-Nexis and Westlaw, principles and practices of correct English usage including grammar, spelling, punctuation and vocabulary, time management and organizational techniques, interpersonal skills using tact, patience, and courtesy, customer service skills, principles and applications of the Microsoft Office applications including Word, Excel, Sharepoint and Outlook.

Ability to: Provide independent practical legal advice, support, and oversight related to investment transactions and securities trading; review, draft, and negotiate documents and commercial contracts for a wide range of investment transactions, including private equity, hedge funds, co-investment transactions, real estate, credit, and public markets; draft memos, policies, and procedures; communicate clearly and effectively, orally and in writing, including making public presentations to the Board of Investments; maintain effective relationships with the public, the Boards, Executive Leadership and staff; research and analyze legal issues, assess risks, and distill into succinct business advice; set priorities effectively and oversee multiple projects in a fast-paced environment; work well under time constraints and meet deadlines; conduct research using computerized legal research tools such as Lexis-Nexis and Westlaw; understand and follow oral and written directions; provide oversight, leadership, and work effectively with a diverse team of internal staff, outside counsel, and executives; work with minimum supervision; plan and organize their work and the work of others; and establish and maintain effective working relationships with other staff internally and externally.
