The Corporate Counsel position plays a vital role as a strategic partner to the procurement team and other internal stakeholders. This position involves negotiating complex commercial agreements and providing legal guidance on critical business decisions.
Responsibilities and Duties:
- Lead negotiations, draft, and finalize a wide range of complex agreements, advocating for the use of company forms and templates. Agreement types include software licenses, financial service contracts, master service agreements, consulting contracts, confidentiality agreements, human resources contracts, insurance policies, travel management agreements, commercial leases, marketing agreements, cybersecurity agreements, and facility and infrastructure agreements.
- Collaborate closely with procurement and key business stakeholders (e.g., finance, human resources, marketing, real estate, R&D, product development) to ensure contract alignment and compliance.
- Provide comprehensive legal advice on commercial matters, real estate transactions, risk management, and data privacy.
- Assist in the selection and oversight of external legal counsel engagements.
- Support compliance efforts related to data privacy incidents and privileged investigations.
- Maintain and update a library of legal templates and forms for use in inbound transaction
Requirements and Qualifications:
- Minimum of 10 years of legal experience, preferably with in-house experience.
- Proven ability to engage effectively with stakeholders at all levels within an organization.
- Demonstrated flexibility, pragmatism, and ability to work independently and as part of critical team environments across multiple time zones.
- Strong project management skills with the ability to handle multiple, varied legal projects simultaneously in a fast-paced environment.
- Exceptional written and verbal communication skills.
- Strong analytical skills with the ability to navigate complex legal and business issues effectively.
- Detail-oriented with a proactive approach to problem-solving.
- Ability to craft well-reasoned and clearly written legal documents.
