Cooper Holdings seeks a talented transactional attorney with 2+ years of relevant law firm and/or in-house legal experience to add to its Business and Legal Affairs team in the Atlanta office. This role will have a high level of responsibility and will work directly with the various business units in the marketing, digital, and entertainment industries.

Responsibilities:
- This position will primarily support the subsidiaries in the marketing and entertainment industries.
- Draft, negotiate and interpret a variety of transactional agreements, such as vendor, independent contractor, master service agreements (and related statements of work), NDAs, licensing agreements, sponsorship agreements, appearance agreements, and talent service agreements.
- Review and draft rules for sweepstakes and promotions.
- Develop and maintain form templates.
- Be a business partner, providing strategic direction and legal guidance to management, finance, operations, human resources, and individual business groups.
- J.D. from a top-tier accredited law school.
- Excellent academic credentials.
- Must be a member in good standing of a state bar.
- 1-3 years relevant transactional experience at a reputable law firm, or in-house legal department.
- Strong drafting, negotiating and analytical skills and deal-making experience.
- Ability to work with a team, but also independently and proactively with minimal direction and supervision.
- Must have strong interpersonal skills, be able to interact with senior leadership, along with internal and external clients.
- Experience analyzing, interpreting, and communicating legal strategies and requirements for/to non-lawyer colleagues.
- Excellent judgment, attention to detail, and ability to handle sensitive and confidential information.
- Ability to handle ambiguity, juggle many matters at once, and quickly shift from one situation or task to another.
- Exceptional organizational skills and a knack for efficiency.
- Good sense of humor, upbeat personality, and common sense.
- Admitted to Georgia Bar.
- Experience with marketing and advertising legal issues, including FTC guidelines, various social media rules and regulations.
- Experience in drafting rules for promotions and sweepstakes.
- Experience reviewing and analyzing insurance policies.
- Experience with employment law
- Knowledge/skill in structuring, drafting, and negotiating a broad range of business agreements.
- Understanding of SAG-AFTRA requirements.
- Strong working knowledge of intellectual property law, including trademark, copyright, personality rights, and data and privacy issues.
- Understanding and interest in technology and innovation.
- Familiarity and experience with data protection and data privacy matters, including GDPR, CCPA, CPRA, and CDPA.
