Role Summary:

The Senior Vice President, Head of Governance is accountable for leading and managing all aspects of the ERM & Compliance governance program and centralized business unit administration practices. This includes overseeing and managing various ERM & Compliance led governance forums and executing related legal and regulatory tasks to support ERM & Compliance governance practices. The role is accountable for providing regular reporting information and updates to the Board of Directors, executive management, internal governance structures and other internal and external stakeholders.

The role is also responsible for developing, implementing and maintaining a documented Global ERM & Compliance Governance Program, related procedures and enhanced operating processes to enable the effective execution of governance outcomes to be achieved by ERM & Compliance globally

This role will collaborate globally across multiple regions, business lines, corporate function teams, and the Board of Directors to develop and implement enhanced reporting and escalation processes in alignment with established risk appetite statements and risk tolerance metrics. This role will also work closely with the first and third lines of defense, global regulatory authorities and stakeholders who rely on ERM & Compliance governance deliverables to fulfill their responsibilities.

The SVP, Head of Governance operates a centralized administration utility function for the global ERM & Compliance leadership team and function.

Other Key Responsibilities

  • Design, implement and execute an enterprise wide ERM & Compliance Governance Program and Framework in order to confirm the company meets regulatory standards of our primary and host regulators and effectively manages ERM & Compliance governance practices globally

  • Maintain ERM & Compliance related frameworks, charters and delegations of all legal entities and stakeholders to review content and ensure the quality of materials submitted and follow up where clarity or repositioning is required.

  • Develop a global framework and related policies, procedures and operating processes, leveraging subject matter expertise, to (1) ensure policies incorporate relevant regulatory and internal requirements, (2) establish procedures for policy implementation and (3) establish and document controls to ensure policy adherence

  • Provide general advice to stakeholders on governance issues as they arise to ensure stakeholders are well informed and can respond appropriately.

  • Review and clarify ERM & Compliance led Committees and governance forums. Review and maintain hierarchy of Committees, membership, voting structures, escalation procedures and charters/mandates.

  • Lead and organize various control-related attestations required of ERM & Compliance.

  • Assist in the regular review of governance processes including analyzing existing processes, recommending and implementing changes, documenting new processes and procedures to support compliance, continuous improvement and innovative best practices in governance.

  • Produce a periodic self-assessment of governance effectiveness across various ERM & Compliance management teams and governance structures

  • Provide consultation for the creation of governance metrics and setting of thresholds.

  • Assist in managing audits for ERM & Compliance. Provide and aggregate content from subject matter experts to corporate audit. Track and manage issue resolution with corporate audit.

  • Ability to keep abreast of changes in the regulatory environment and supervisory expectations, and capturing such changes in the ERM & Compliance governance framework, policies, and procedures

  • Willingness to work with senior stakeholders across the enterprise to operationalize the ERM & Compliance governance framework and policies and procedures

Qualifications:

  • Minimum of 15 years of related experience within the financial services industry including time spent managing in an executive capacity

  • Minimum of 5 years of experience on senior management reporting/governance with a G-SIFI in financial services, including proven experience with governance activities in financial services

  • Experience leading a global function

  • Excellent people manager skills

  • Ability to work in an environment with constantly competing priorities and managing these priorities in the required timeframe and to a consistently high level of quality

  • Proven interpersonal and communication skills at both the executive and board level

  • Deep knowledge and understanding of risk management principles

  • Highly organized with a strong analytical background, extensive problem-solving and negotiation skills

  • Graduate level degree Masters or Law

Salary Range:

$225,000 - $337,500 Annual

The range quoted above applies to the role in the primary location specified. If the candidate would ultimately work outside of the primary location above, the applicable range could differ.
