Job Description

Fluor Corporation (NYSE: FLR), a Fortune 500 engineering, procurement, and construction company, seeks to hire a Corporate Counsel for its Irving, Texas headquarters office.

The candidate will report to the Senior Vice President, Law and Compliance (Corporate Section, supporting General Corporate, Treasury, Supply Chain & Information Technology matters). Candidates must have corporate transactional experience.

Assisting with general corporate housekeeping and corporate governance matters, including forming and dissolving companies, drafting Board resolutions, managing powers of attorney, and maintaining minute books.
Negotiating and preparing general corporate and transaction documents.
Assisting with M&A activity as needed.
Providing support to the Treasury/Finance group in drafting, negotiating and reviewing corporate finance agreements, credit agreements, guarantees and letters of credit.
Providing support to Contracts and Procurement Services and Supply Chain in the negotiation of procurement contracts relating to software, services, equipment and materials.
Other duties as assigned.

Basic Job Requirements

Law degree from an accredited law school required.
Member in good standing of Texas state bar.
3 to 6 years of legal practice/experience in corporate transactions and corporate governance with another major public corporation or a law firm.
Demonstrated ability to direct and manage outside counsel.
The application of legal knowledge and skills and negotiating tactics to different situations is required.
Requires dealing with internal and external contacts and providing professional service on a daily basis.
Excellent organization and communication skills are required.
Ability to attend to detail and work in a time-conscious and time-effective manner.

Preferred Qualifications

Experience working in either private practice or corporate or government environment
Applicable license(s) and registration(s) in area of specialty or discipline
Outstanding project management, organizational, and critical thinking skills
Excellent communication and writing skills
Highly organized, detail oriented, with strong ability to prioritize
Demonstrated experience in a broad range of substantive legal and business areas
Flexibility, versatility and ability to deal with multiple issues, priorities, and personnel is expected and required
Capacity to collaborate with others and outstanding time-management abilities are essential.
Demonstrated ability to work with and manage outside counsel and deal with internal clients at many different levels within an organization
Proficient in the use of computers to include the use of word processing, e-mail, spreadsheets, and electronic presentation programs
