Required Education and Experience

J.D. and a minimum of 3 years experience in a related area.

Position Focus:

Yale Universitys Office of the Senior Vice President and General Counsel seeks an Assistant General Counsel to support the universitys corporate and transactional legal needs, including complex commercial and academic agreements, international agreements, master service agreements, non-disclosure agreements, and other associated matters for departments across the university. This attorney will partner with internal business teams, subject matter experts, and other offices and will work both independently and in partnership with senior attorneys. This role is one of a generalist, providing advice on a wide variety of corporate matters, business transactions, and contracts.

Responsibilities include: Provide high-quality legal and strategic advice to a diverse client base. Interpret, draft, negotiate, and advise on complex commercial agreements. Investigate and resolve disputes arising in connection with the universitys contracts. Educate and advise internal clients with respect to positions and issues that arise during contract negotiations. Work with internal clients to resolve legal, risk, and business issues that arise in commercial and corporate transactions. Understand and apply evolving regulatory requirements to new and existing agreements. Manage and prioritize multiple concurrent projects. Assist with review and drafting of university policies and procedures. Research and draft memoranda, advice and correspondence on legal issues affecting the university.

Essential Duties: Serve as legal liaison to specific operational departments. Monitor developments in relevant areas of the law by keeping current on legal literature, networking with other attorneys, and attending conferences and seminars.
Support effective and efficient use and management of outside counsel. Perform other duties as assigned.

Required Licenses or Certifications

Admission to the Connecticut bar at the time of, or within one year of, hire.

Preferred Education, Experience and Skills:

Experience with drafting complex agreements and creating standard agreements.
