US In-House Legal Counsel

Position Overview:

As an integral part of the Questel Legal Team, this position reports to the Questel Group Chief Legal Officer and is responsible for protecting the US entities legal interests, providing guidance on legal rights and duties within the US, and contributing to the success of the Questel Group by managing complex legal projects and overseeing legal compliance for Questel Groups US entities.


Principal Duties & Responsibilities:

  • Draft and review contracts and agreements for the various teams, including for HR, Sales, Finance, and Procurement
  • Advise the international legal team on the intricacies, applications, and unique contract requirements of US federal, state, and local law
  • Advise and consult with the HR team on corporate policies and procedures and overall compliance with federal, state, and local labor laws
  • Support outside immigration counsel as requested by the HR team
  • Support outside tax professionals, particularly regarding state and local tax issues, as requested by the finance team
  • Support the finance team and outside auditors as they conduct audits
  • Support the collection efforts of the finance team, including advising on creditors rights in bankruptcy proceedings
  • Draft, review, and file corporate documents to comply with the requirements of various states and local authorities
  • Supervise Questels registered agent and audit annual renewals to ensure accuracy of the business registrations in the various states
  • Support outside legal counsel on special projects, such as mergers and acquisitions and litigation, as requested by the Group Chief Legal Officer
  • Draft meeting minutes and unanimous consents of the stockholders, LLC members, and board of directors of the US subsidiaries
  • Support the Corporate Secretary in providing Certificates of Good Standing and other authenticating legal documents for the US entities
  • Work on special projects and other duties as assigned by management

Qualifications & Skills:

Education and Experience: A degree in American law, plus a minimum of five years of legal experience that provides the following knowledge, skills and abilities:

Education and Licensing:

  • A Juris Doctor (JD) degree from a US accredited law school
  • Licensed to practice law by and in good standing with at least one state bar

Experience:

  • Relevant experience in corporate governance law such as drafting consents and registering and renewing state registrations
  • Experience in drafting and reviewing business contractors and agreements
  • Experience in labor law compliance
  • Experience with creditor representation in bankruptcy
  • Experience interacting with government and tax agencies on the federal, state, and local levels
  • Familiarity with mergers and acquisitions (M&A) and due diligence matters is advantageous

  • Fluent in English
  • Fluency in a second language other than English is preferred, but not required
