Job Description

Ares Management Corporation (NYSE: ARES) is looking to hire an attorney to join its existing Legal team of [50+] attorneys and other legal professionals. The position will be New York and report to the Global Head of Wealth Management Distribution at Ares. The Associate Vice President, Counsel - Global Wealth Management Distribution, will be responsible for assisting the Global Head of Wealth Management Distribution to prove comprehensive legal support for the Ares Wealth Management Solutions (AWMS) business, including actively participating in the global expansion of the AWMS business (existing and new products), leading retail product development and managing regulatory affairs across many distinct markets, jurisdictions investment strategies and product structures. The Ares Legal team is responsible for advising on a wide range of legal matters as the Ares Legal team guides Ares' business through an evolving and complex financial, legal, and regulatory environment across the multiple jurisdictions in which we operate. The ideal candidate will work with directly with senior management of Ares Wealth Management Solutions, as well as Public Investor Relations, Communications and Compliance and Regulatory departments.

Experience with legal matters related to the distribution of alternative investment management products is strongly preferred, as well as experience advising on associated broker dealer and regulatory issues. Primary Functions & Responsibilities

  • Support global retail product development including origination, structuring and regulatory affairs across many distinct markets, jurisdictions investment strategies and product structures

  • Actively participate in the global expansion of the AWMS business (existing and new products), including the numerous commercial and legal considerations surrounding growth, positioning and risk management

  • Provide advice and counsel to business and functional the AWMS business related to rules and regulations and overall strategic objectives for the wealth management distribution channel

  • Assist in advising on a range of contractual negotiations and agreements between banks, wealth management firms (of all sizes and in all markets) and Ares to distribute fund offerings to individual investors

  • Assist in advising on FINRA and other similar governing body issues associated with distribution of complex, non-traded products in the U.S.

  • Coordinate with internal fund counsel on diligence responses with both home offices and internal product management personnel

  • Coordinate with Compliance and Regulatory teams in connection with advice relating to sales literature and marketing developed for products and distribution efforts in the wealth management channel

  • Assist with legal issues that arise related to Ares AWMS Operations team, and applicable transfer agent issues associated with Ares wealth management-focused funds

  • Assist in advising on the management of the broker-dealer activities within Ares, including sales practices, broker-dealer legal inquiries, marketing materials and regulatory reviews

  • Work closely with external counsel for in-scope Ares funds and that support Ares global distribution business

  • Work closely with key internal and external stakeholders, including regulatory/governing bodies, to ensure positive relationships are maintained and that Ares approach is both proactive and creative, acting in full compliance with all requirements

Qualifications

Education: JD required with a strong academic background

Experience Required:

  • 4-8-year lawyer, with prior law firm experience and either currently at a law firm or in-house
  • Emphasis on exposure to wealth management-focused alternative investment products and base of securities-related exposure including working knowledge of broker-dealer and 40 Act issues
  • Experience with international wealth management businesses are ideal

Reporting Relationships

Compensation

The anticipated base salary range for this position is listed below. Total compensation may also include a discretionary performance-based bonus. Note, the range takes into account a broad spectrum of qualifications, including, but not limited to, years of relevant work experience, education, and other relevant qualifications specific to the role.

$200,000 to $250,000
