The Junior Legal Counsel is required to support the bids and proposals cycle for the Legal & Contracts team. Under supervision, she/he will be responsible for risk identification, risk mitigation recommendations, preparation of compliance statements and sales contracts, subcontracts, supply, professional services procurement agreements and other related agreements. They will ensure compliance and governance procedures are implemented in the bids and proposals cycle, to draft, review and negotiate terms and conditions to ensure protection of company interests and the preservation of project profitability.

Key Responsibilities:

  • To review RFPs and customer contracts to identify and prioritize legal and commercial risks.
  • To develop contractual positions and provide contract interpretation to the bids and proposals team, project team and senior management.
  • To prepare contract compliance matrices, risk assessment questionnaires and other pre-bid documentation.
  • To manage the development and implementation of a negotiation strategy for contract negotiations, from pre-award to execution;
  • To prepare, draft and negotiate contractual documentation including NDAs, preliminary agreements, intra-unit agreements and customer and/or supplier contracts
  • To ensure compliance with Ground Transportation Systems (GTS) governance policies for new business contracts.
  • To work together with bids & proposals team, finance and other departments as part of the Bids review and analysis.
  • To work with risk management analysts, brokers and sureties in connection with all contract bonding and insurance related matters.
  • Oversees large, complex contracts held both domestically with transit authorities and/or US business, as well as internationally. Manages risk associated with each contract; ensures all risks associated with operations is anticipated, identified and managed. Participates in negotiations as required. Resolves legal points of contention with customer.
  • Support claims, and management of disputes and litigation during project execution.
  • Works positively with other specialist groups (Finance, Bids, Legal, Tax etc) within a matrix organization to develop complex bids and proposals as part of a multi-functional bid team with the common objective of winning new and profitable orders;
  • Able to work independently, under supervision, as well as part of a team environment;
  • Able to perform detailed analysis and drafting as well as appreciate the broad business and strategic context.
  • Able to identify key commercial and legal risks, assess degree of severity and probability and articulate clearly to senior management in both written and presentation form, together with proposed mitigations.
  • Able to represent the company professionally and with competence in negotiations with domestic and international clientele.
  • Able to adapt to different contractual and commercial approaches, and navigate cultural norms, to arrive at negotiated compromises within approved parameters.

Key Requirements:

  • JD from an accredited Law School
  • Active membership with the NY state Bar
  • Between 1 - 4+ years of experience post-education completion and bar membership
  • Experience with a focus in business contract law, ideally in a technology solutions company
  • Demonstrated experience in drafting, reviewing and negotiating commercial agreements, contract management.

Preferred Qualifications:

  • Additional language skills preferred (French or Spanish fluency a plus).
  • Experience in and knowledge of technology contracting, privacy and/or competition law would be an asset.
  • Strong analytical skills, attention to detail, project prioritizations skills, ability to effectively manage multiple tasks and priorities in a fast-paced environment.
  • Strong verbal and written communication skills, and proven team player.
  • Ability to engage and collaborate with cross-functional and international stakeholders to influence adaptions of business-oriented solutions.

The Company provides the following compensation range and general description of benefits that it in good faith believes it might pay and/or offer for this position. The Company reserves the right to ultimately pay more or less than the posted range and offer additional benefits and other compensation, depending on circumstances not related to an applicants sex or other status protected by local, state, or federal law.

Salary Range: $95,000 130,000 / year
