Position Summary

The M&A Counsel reports to the Chief Legal Officer (CLO) and is part of the legal team at a rapidly growing company with an active M&A pipeline. The M&A Counsel acts as legal advisor for complex mergers and acquisitions activities at Resolution Life US.

Position Description

  • Serves as an integral member of the core deal team for M&A transactions, including public and private entity acquisitions, reinsurance agreements and other arrangements in the life insurance space, as well as other strategic growth initiatives

  • Participates in strategic and tactical decision-making and assumes a lead role in negotiating terms of M&A transactions

  • Participates in the entire lifecycle of transactions from development of preliminary bids and indications of interest through closing

  • Drafts and negotiates a wide variety of agreements, including confidentiality agreements, investment banking and outside advisor engagement letters, definitive purchase and sale agreements, stock purchase and merger agreements, joint venture agreements, reinsurance agreements, trust agreements and administrative services agreements

  • Provides counsel to executive management on all legal aspects related to contemplated transactions

  • Manages and oversees outside law firms to obtain world-class, cost-effective legal services

  • Collaborates closely with other teams across the enterprise, including operations, finance, risk, tax, technology and IP, labor and employment, litigation and regulatory

  • Provides support, as needed, for other Legal and Compliance areas.

Position Requirements

  • Law degree from accredited U.S. law school

  • Current bar license in good standing and compliant with state requirements

  • 8+ years of experience with complex merger and acquisition transactions, preferably involving life insurance

  • Ability to work under pressure with a high degree of attention to detail; effectively prioritize and manage workload; manage numerous projects and conflicting demands and meet deadlines within a changing fast-paced environment

  • Strong analytical skills and demonstration of high degree of judgment

  • Demonstrated leadership presence and skills

  • Superior interpersonal, organizational, written and oral communications skills

Location:

  • NYC office preferred (generally 2-3 days/week in the office, depending on a particular deal may be more). For roles being performed in New York City, Resolution Life is required to include a reasonable estimate of the base salary for the role. This base salary range takes into account the wide range of factors that are considered in making base salary decisions including but not limited to skill sets; experience and training; licensure and certifications; and other business and organizational needs. The range estimate has not been adjusted for the applicable geographic differential associated with the location at which the position may be filled. At Resolution Life, it is not typical for an individual to be hired at or near the top of the range for their role, allowing for future salary growth, and compensation decisions are dependent on the facts and circumstances of each case. A reasonable estimate of the current base salary range is $197,000 - $295,500.
