What does a successful Managing Counsel do?

You will be responsible for providing legal support for M&A, strategic investment, partnership, joint venture, and similar business development transactions. You will provide legal support for SEC filings including 10-Ks, 10-Qs, 8-Ks, proxy statement and section 16 filings and NYSE compliance. Provide legal support to board of directors and corporate functions. Anticipate and guard against legal risks. Research and respond to questions that arise from daily business.

What You Will Need to Have

  • Law degree from a law school approved by the American Bar Association or proper state authorities.

  • Licensed to practice, or ability to become licensed to practice, in appropriate jurisdiction.

  • At least 5 years relevant legal experience.

What Would Be Great to Have

  • Relevant law firm experience valued.

  • Experience in public company SEC reporting.

  • Mergers and acquisitions and other transaction experience.

  • Ability to work in fast-paced environment and to identify potential legal, operational and strategic risks.

This role is not eligible to be performed in Colorado, California, Hawaii, New York or Washington.
