Job Description

Handle a variety of corporate law related matters, including contracts, litigation matters, and understanding of product warranties. Draft and negotiate agreements including supply, manufacturing, lease, service, and confidentiality agreements. Establish and maintain valuable strong working relationships with departments within the organization such as sales, operations, and procurement. Must be licensed to practice law in the State of New Jersey or other states in the U.S. Must be licensed to practice law in a country in Latin America. Telecommuting is allowed one day per week. Regular international travel to countries in Latin America is required to meet with local management and local counsel, review and observe ongoing projects, and provide training to employees.

Qualifications

Requires a Juris Doctor or equivalent law degree plus two (2) years of experience in corporate law related matters.

Must be licensed to practice law in the State of New Jersey or other states in the U.S.

Must be licensed to practice law in a country in Latin America.

Must have at least two (2) years of experience in the following:

  • Supporting corporate legal topics concerning the company including contract review, litigation, and corporate governance.
  • Drafting and negotiating agreements concerning the company including supply, service, license, and confidentiality agreements.
  • Support of litigation matters including investigating the cause of the issue, overseeing external consultants, reviewing legal documents to be filed in applicable legal proceedings, and preparing memorandums updating the progress of the matter and key issues developed during the litigation.
  • Conducting legal research of key issues affecting the company.
  • Understanding of product warranties.
  • Due diligence support for mergers and acquisitions projects.
  • Preparing and reviewing corporate governance related documents, including power of attorneys, proxy letters, and entity name changes.
