The Corporate Counsel will help the VP, Legal manage all company contract-related matters including quote/proposal preparation, contract administration, and related compliance matters for our fast-growing company. The role requires a strong business acumen to ensure company contracts are aligned with overarching business goals and objectives. The ideal candidate will have a proactive, problem-solving approach and the ability to effectively collaborate across company functions at various levels.

What Youll Do

  • Manage proposal preparation, contract negotiation, and contract administration, serving as the main customer point of contact on all company contract-related matters.
  • Work closely with company counsel by advising contractual rights/obligations (to include intellectual property considerations) and how they align with business objectives.
  • Ensures that contract databases are updated and maintained in an accurate and timely manner, including the maintenance and retention of documentation covering the complete contractual record and evidence or review and approvals obtained in accordance with the Companys prescribed approval matrix.
  • Manage all activities related to development of customer contracts. (Example: commercial, insurance, reseller, co-sale.)
  • Work closely with internal teams within a matrix environment of program management, engineering, finance, operations, supply chain, and quality functional leads.
  • Contributing to crafting and analysis of licensing, import/export, antitrust, regulatory compliance, and manufacturing contracts.
  • Support data preservation and subpoena response efforts.
  • Communicate early morning and late hours with international counterparts to confer and negotiate contracts
  • Contribute to the creation of legal processes for emerging growth company

Background Required:

  • 7-10+ years of experience leading or managing contracts and proposal-related matters.
  • JD and an active member of the California Bar.
  • Demonstrated ability to lead and manage contractual matters for various types of contracts involving commercial off-the-shelf product deliveries, technical service/support agreements, research, and development programs, etc.
  • Thorough knowledge of contract formation strategies, contract administration/management, and proven ability to effectively negotiate terms, conditions, and prices.
  • Ability to provide workable solutions to address a wide variety of contractual challenges.
  • Licensing, import/export, antitrust, regulatory compliance, and manufacturing contract knowledge preferred.
  • Contracts experience for SaaS or tech industry is a plus.
  • Willingness to work with internationally distributed teams.
  • Location: San Diego: Hybrid work schedule 3 days in the office

  • You have the right to request:
    • The categories and specific pieces of your Personal Information that weve collected;
    • The categories of sources from which we collected your Personal Information;
    • The business or commercial purposes for which we collected or sold your Personal Information; and
    • The categories of third parties with which we shared your Personal Information.
  • You can submit a request to us for the following additional information:
    • The categories of third parties to whom weve sold Personal Information, and the category or categories of Personal Information sold to each; and
    • The categories of third parties to whom weve disclosed Personal Information, and the category or categories of Personal Information disclosed to each.
  • You can request that we delete the Personal Information we have collected about you, except for situations when that information is necessary for us to: provide you with a product or service that you requested; perform a contract we entered into with you; maintain the functionality or security of our systems; comply with or exercise rights provided by the law; or use the information internally in ways that are compatible with the context in which you provided the information to us, or that are reasonably aligned with your expectations based on your relationship with us.
  • You have the right to request that we not sell your Personal Information. However, we do not offer this opt-out as we do not sell your Personal Information as that term is defined under the CCPA.

You may also designate an authorized agent to submit a request on your behalf. To do so, we will require either (1) a valid power of attorney, or (2) signed written permission from you. In the event your authorized agent is relying on signed written permission, we may also need to verify your identity and/or contact you directly to confirm permission to proceed with the request.

As noted above, if your request concerns Personal Information collected in our capacity as a service provider to a client, we are not responsible for responding to the request and may send the request to the client for a response.

This Services are provided in the United States, and are located and targeted to persons in the United States and our policies are directed at compliance with those laws. If you are uncertain whether this Policy conflicts with the applicable local privacy laws where you are located, you should not submit your Personal Information to Netradyne.
