Manager, Corporate Counsel - Venture Investments and M&A

NVIDIA seeks Manager Corporate Counsel, Venture Investments and M&A, to join the Company's Legal Department supporting NVentures (the Companys investment arm) and Corporate Development. The successful candidate will have extensive experience assisting with venture capital financings and M&A transactions. This role also requires experience working with senior management and ability to work well with and relate to company personnel at all levels.

What youll be doing:

• Evaluate, structure, negotiate, draft and provide advice on venture investments and merger and acquisitions

• Review and draft NDAs, deal structures, term sheets, LOIs, due diligence, and other legal documents

• Partner to lead cross-functional teams to complete transactions

• Assist in legal due diligence across cross-functional legal areas such as corporate, commercial, IP, export control by using internal legal specialists

• Assist in negotiations and drafting of commercial and collaboration agreements in connection with strategic investments and partnerships

• Participate in the development of strategies to enhance the deal process and execution

What we need to see:

• Current member in good standing of the California State Bar

• Law degree from top law school with excellent academic credentials

• 8+ overall years of law firm and/or in-house experience. Mix of law firm and in-house experience a plus, including 4+ years of leadership experience

• Significant experience running complex and strategic M&A, venture capital and other financing transactions

• Practical and academic knowledge within venture investments and M&A transactions; proactive approach to recognizing needs, anticipating issues, and solving problems

• Experience working with senior management and ability to work well with and relate to company personnel at all levels.

• Excellent legal and business judgment and attention to detail

• Ability to think creatively, function independently and work proactively in a fast-paced environment

The base salary range is 196,000 USD - 356,500 USD.
