Legal Counsel - UK/EU Compliance (German Fluency Req'd)

About the Position:

We are working with a global private markets investment manager that has an immediate need for a regulatory and compliance attorney to join as a Legal Counsel in Chicago or New York. This person will be responsible for the client’s legal/regulatory activities in the UK and EU markets including fund formation and private offerings, regulatory filings related to such fundraising efforts, and requirements associated with managing UK and EU local offices.

Responsibilities:

· Oversee the EU based offerings in Luxembourg and other jurisdictions, including documentation and regulatory filings

· Manage legal aspects of the firm’s subsidiary operations in the UK and Germany, as well as other operations

· Monitor and serve as a resource for updates to UK and EU regulations, including those related to data privacy, security and anti-money laundering

· Update UK and EU regulatory compliance policies and procedures as needed and prepare periodic regulatory documentation under UK and German regulations

· Oversee filing and monitoring of ongoing filing obligations with regards to marketing efforts and management of EU based investment vehicles

· Address UK- and EU country-specific marketing compliance requirements, including under AIFMD and private placement rules

Required Qualifications:

· 7-12 years of experience as a lawyer within a law firm and/or in-house legal department

· Fluent in German

· Experience handling fund formation or M&A transactions, regulatory related registrations and other regulatory documentation

· Familiarity with FCA and BaFin regulation and EU securities laws (including AIFMD), and with General Data Protection Regulation
