General Counsel (Part-Time)

Millennium’s part-time General Counsel will play a pivotal role in our mission by helping promote business goals while minimizing risk to the company. As General Counsel, you will be part of a smart, collaborative team who works on all things Corporate and will also contribute to the review and negotiation of Millennium’s employment related agreements, real estate leases, vendor, and other contracts. We are looking for someone with excellent interpersonal skills who excels in a dynamic, fast-paced environment. You’ll report to the Chief Compliance Officer.

What You’ll Do

Participating in the review, policy and governance processes, working with business, risk and compliance partners across the organization

Support corporate initiatives and manage/collaborate on engagements with outside counsel for other special projects

Advising the business on SEC, FINRA, MSRB and SRO laws, rules and regulations, with a particular focus on broker-dealer rules and regulations applicable to transactions of self-clearing broker dealers

Advising the businesses on CFTC rules and regulations and ISDA transaction documentation.

Keeping apprised of relevant laws and regulations and advising the businesses on current and/or proposed rules and regulations

Review and advise on Millennium’s inputs in the SEC and FINRA reporting processes, as well as any regulatory inquiries

Partner with our Treasury and Finance teams to provide requested advice and support their contracting needs

Supervise subsidiary formation/maintenance work by our outside partners and be primarily responsible for certain corporate governance and other legal entity matters, including subsidiary board actions and intercompany agreements

Support the continuous improvement of internal workflows, review processes, and other legal policies and operations

Review and manage outside counsel on specific legal actions, immigration sponsorships, and corporate organization documents, etc.

What We Are Looking For

A minimum of 10 years of experience as a practicing attorney

Prior experience advising U.S. broker-dealers on sales and trading businesses is required

Prior in-house experience is preferred

Detail-oriented, strong analytical and organizational skills

Critical thinker and an effective communicator who can collaborate with others

Willingness and ability to tackle new subject matters and develop new areas of expertise

Team player with an ability to multitask, balance competing demands, and provide practical and actionable advice in a fast-paced environment

Excellent drafting and negotiation skills, with an ability to communicate and apply complex concepts clearly and effectively to practical situations

Good judgment and the ability to think through legal risk in practical, real-world terms

FINRA licenses a plus
