JOB SUMMARY:

The Assistant General Counsel, under the supervision of the General Counsel, serves as a legal advisor to Calista Corporation and its subsidiaries regarding litigation, corporate, securities, commercial, transactional, contract, employment, land, natural resource, government relations, real estate and other matters as assigned.

ESSENTIAL FUNCTIONS:

  • Support and collaborate with commercial, executive, and other cross-functional teams to provide strategic business oriented legal advice.

  • Assist General Counsel with corporate secretarial functions, including preparation and review of Board and Committee materials while implementing corporate governance best practices and policies.

  • Provide counsel on matters related to Company ANCSA lands, including development projects, land transactions, government regulation and strategic issues.

  • Prepare, review, negotiate, and manage a variety of contracts and transactional agreements, including commercial agreements, licensing agreements, master service agreements, consulting agreements, confidentiality agreements, supply or distribution agreements, and leases.

  • Provide counsel on operation and compliance of SBA 8(a) companies including teaming, mentor-protg and related programs.

  • Provide counsel on a wide range of strategic opportunities and commercial arrangements, including mergers and acquisitions, strategic transactions and partnerships, joint ventures, entry into new markets, federal government contracting and natural resources development, and commercial agreements.

  • Identify and communicate issues and risks across corporate and subsidiary operations; collaborate and recommend mitigation strategies.

  • As required, assist Calista and subsidiary human resources departments with employment law compliance and in-house personnel matters and investigations.

  • Maintain current knowledge of relevant legal principles, practices and trends.

  • Ensure quality and timeliness of legal advice.

  • Support the continuous improvement of legal processes to promote efficiency.

  • Develop, review, revise, and maintain corporate policies and charters.

  • Assist with Shareholder stock transfers.

  • Maintain compliance with Alaska Bar Association licensure requirements.

  • Work in a constant state of alertness and in a safe manner.

  • Perform other duties as assigned.

SUPERVISORY RESPONSIBILITIES

This position has no supervisory responsibilities.

KNOWLEDGE, SKILLS, & ABILITIES:

  • Strong knowledge of the Constitution, statutes, court decisions, state and federal laws and regulations, particularly ANCSA, ANILCA, and the SBA small and disadvantaged business programs.

  • Strong knowledge of legal codes, court procedures, precedents, executive orders, agency rules, policy making, legislative drafting, and the legislative process.

  • Strong knowledge of Alaska Corporations Code and Alaska Native Claims Settlement Act corporate governance laws, regulations, and court decisions.

  • Ability to analyze legal documents and interpret laws, regulations, and policies.

  • Ability to conduct administrative hearings.

  • Ability to provide leadership, counsel, motivation, and constructive feedback to others.

  • Strong decision analysis and problem-solving skills; ability to identify risks, detect unobvious facts, draw conclusions, and justify decisions.

  • Excellent interpersonal skills; ability to maintain effective working relationships with fellow employees, other agencies, Calista Region tribal entities, Village Corporations, the public, and the federal government.

  • Excellent technical writing skills; ability to draft and edit a wide variety of technical documents including contracts, policies, letters, etc.

  • Ability to multi-task and meet deadlines; Effective change management skills.

  • Must be detail oriented; superior organizational, information management, and follow-up skills.

  • Ability to learn and understand corporate policies/procedures and how they relate to Calistas goals.

  • Well-developed professional oral and written communication skills sufficient to engage in sound, clear, effective, and well-reasoned discussions with internal and external customers, and provide back-up documentation/information. Ability to effectively engage in public speaking.

  • Ability to use standard business computers, with considerable knowledge of business applications including Microsoft Office Suite.

  • Ability to work safely.

  • Ability to perform basic mathematical computations.

  • Ability to participate in and facilitate group meetings.

  • Ability to work a flexible schedule as needed.

  • Ability to operate a motor vehicle in a safe and efficient manner.

MINIMUM QUALIFICATIONS

  • Juris Doctorate (JD) from an ABA accredited law school with a license to practice law by the Alaska Bar Association.

  • Eight years of progressively responsible legal experience required, either as an attorney employed by an Alaska Native Corporation or as an attorney in private practice handling predominately matters for Alaska Native Corporation clients. preferred.

  • Valid state drivers license and be qualified to operate a vehicle under the conditions of Calistas Driving Policy.

  • Ability to speak Yupik preferred.

  • Ability to pass a drug, credit, driving, and background screening.

WORKING CONDITIONS

The work environment characteristics described here are representative of those an employee encounters while performing the essential functions of this job. The Legal team operates in a fast paced, multi-tasking, customer-service oriented environment. Although the standard work week is 40 hours, additional time may be required to meet work demands or meet deadlines. Additionally, work priorities may change on short notice.
