RESPONSIBILITIES AND QUALIFICATIONS
The Goldman Sachs Global Banking and Markets Legal team is looking for an experienced attorney to support the Equities team in connection with its structured investments business. The ideal candidate has experience working with or at large financial institutions and supporting sales of securities to both institutional and retail investors, as well as in depth knowledge of the laws, rules and regulations applicable to sales of securities in the United States. Direct experience with structured investment products is a plus. This attorney will provide general legal advice on structured investment transactions and assist in the drafting of disclosure documents and agreements supporting the sale of such products.
Responsibilities:
- Provide strategic legal advice in connection with the sale of structured investments to both institutional and retail investors.
- Oversee the preparation of prospectuses related to the sale of structured investments.
- Prepare and negotiate contracts, including distribution and dealer agreements, in support of the structured investments business.
- Provide legal oversight in connection with regulatory requirements and updates related to U.S. securities laws.
- Coordinate and collaborate with a diverse set of stakeholders to identify and help mitigate legal, regulatory and reputational risks
- Instruct/work with/manage external counsel.
Qualifications:
- 4+ years experience in the capital markets group at a leading law firm or equivalent experience at a large financial institution.
- J.D. required; active member of one State Bar in good standing.
- Knowledge of and experience with complex securities and financial products.
- Knowledge of and experience with U.S. securities laws, including disclosure requirements.
- Excellent communications skills, in particular the ability to communicate complex concepts clearly and simply, and to present clear choices.
- Team player with inherent commercial judgment and strong analytical skills.
- High attention to detail with strong organizational skills and the ability to manage several simultaneous projects under deadlines.
- Ability to engage proactively as an advisor to the business and collaboratively work with other control areas.
- Self-starter, strong work ethic and personal accountability.
