Position Overview

Prime Medicine is seeking an experienced corporate counsel to work on a broad range of legal matters across the company to help advance Primes business strategies. The successful candidate will possess significant securities and transactional experience in the biotechnology industry and a strong acumen for understanding corporate objectives and strategy. The corporate counsel will lead or partner on a broad range of corporate matters, including partnering with internal teams and external counsel on all aspects of corporate governance, coordinating cross-functionally on financing transactions, providing strategic legal and business advice across the company, and supporting key transactions for the company. The corporate counsel will work closely with the SVP, IP and Legal Affairs to support and assist Primes business functions, including finance, human resources, business development, facilities and R&D. The successful candidate will have sound business judgment who enjoys working on a diverse range of legal matters in a collaborative environment.

Responsibilities:

  • Provide strategic and thoughtful legal advice and support across all functional areas, including finance, human resources, R&D, and facilities.
  • Partner cross-functionally in drafting, reviewing and managing corporate securities filings, including periodic and annual reports, proxy materials, registration statement filings, Section 16 reports and other federal and/or state filings.
  • Coordinate with the SVP, IP & Legal Affairs and executive team in preparation for board and committee meetings, including preparing board materials, overseeing preservation of board, committee and subsidiary materials and minutes, and regularly assessing board processes and corporate governance compliance.
  • Review external and internal communications and materials, including press releases, scripts, investor presentations, social media postings and website content.
  • Work with key stakeholders to develop and implement company policies and guidelines, design and implement training for employees on relevant corporate and legal topics, and manage updates as laws and regulations change.
  • Partner with internal teams and external counsel on variety of strategic transactions, including complex licensing, collaboration, research, manufacturing and supply agreements, and support contracts team in drafting and negotiating key contracts.
  • Partner with SVP, IP & Legal Affairs to manage legal risks and strategies.

Qualifications:

  • J.D. from a law school accredited by the American Bar Association (ABA).
  • Admitted to practice law in one or more states, preferably Massachusetts.
  • 8+ years legal experience in the biotech/pharmaceutical industry, preferably a mix of in-house and law firm practice.
  • Substantive expertise and deep understanding of securities law and corporate governance matters in a law firm and/or publicly traded biotech/pharmaceutical company.
  • Experience developing and implementing corporate policies and guidelines and managing legal compliance matters.
  • Strong contract negotiation, interpretation and drafting skills preferred, particularly for collaboration, licensing, research, manufacturing and supply agreements.
  • Demonstrated ability to work collaboratively and cross-functionally across all levels of the organization.
  • Excellent analytical skills with a practical, business-oriented and strategic approach to identifying and solving business and legal problems.
  • Proven ability to manage and prioritize multiple matters independently and in a timely manner.
