The Contract Law Attorney at ADMA Biologics will play a critical role in providing legal counsel and support on various non-employment related contractual matters. Reporting to the Senior Director, General Counsel and being supported by the Contracts Administrator, the incumbent will be responsible for drafting, reviewing, and negotiating a wide range of contracts described below. Additionally, the Contract Law Attorney will conduct legal research, develop contract management policies, and collaborate with cross-functional teams to ensure contract terms align with business objectives. The Contract Law Attorney will also manage the Companys growing IP portfolio under the General Counsels direction, working closely with IP counsel to ensure that filings are timely reviewed and made. The Contract Law Attorney will work closely with the Contracts Administrator for support.

Qualifications:

ESSENTIALS OF THE JOB:

  • Provide legal advice and guidance on contract drafting, negotiation, and interpretation.
  • Draft, review, and negotiate a wide range of non-employment related contracts, including but not limited to, advisor agreements, ambassador agreements, collaboration agreements, confidentiality agreements, consulting agreements, credit agreements, credit applications, data agreements, distribution agreements, engagement letters, event-related agreements, GPO agreements, laboratory/testing agreements, leases, letter agreements, license agreements, Master Services Agreements/Statements of Work, medical educational grant agreements, order forms, permits, plasma-related agreements, proposals, quality agreements, sponsorship agreements, supply agreements, terms and conditions, third-party logistics agreements and trial agreements.
  • Work closely with the Contracts Administrator to oversee the Companys internal and third-party contract management databases.
  • Review, interpret and analyze existing contracts from time to time, and prepare correspondence to third parties as requested by the General Counsel.
  • Work closely with the Compliance Department as it relates to commercial agreements and sponsorships.
  • Conduct legal research and analysis on complex contractual issues and stay abreast of relevant legal developments.
  • Develop and implement policies and procedures to ensure compliance with company policies and applicable laws and regulations.
  • Collaborate with cross-functional teams to ensure contract terms and conditions align with business objectives and risk tolerance.
  • Assist in the management of contract disputes and resolution efforts, including drafting correspondence, participating in negotiations, and providing legal support as needed.
  • Support corporate transactions, including debt refinancings, mergers, acquisitions, and divestitures, with respect to due diligence and integration. This includes, but is not limited to, managing the Companys data room.
  • Assist the General Counsel with managing the Companys IP portfolio, working closely with IP counsel to ensure the timely review and filing of the Companys patent and trademark filings.
  • Assist the General Counsel in various corporate and/or SEC-related tasks from time to time.
  • Work with the Company's corporate service provider on various corporate matters, such as foreign qualification filings/renewals, DBA filings, corporate charter filings and other corporate work.
  • May be requested to handle other legal matters for the Company as directed by the General Counsel and/or senior management.

Education Requirements:

  • Juris Doctor (JD) degree from an accredited law school.
  • Admission to any state bar and in good standing.
  • 2-4 years of experience practicing contract law, preferably in a law firm or corporate legal department.
  • Strong knowledge of contract law principles and contract drafting techniques.
  • Excellent legal research, writing, and analytical skills.
  • Ability to effectively communicate legal concepts to non-legal stakeholders.
  • Strong attention to detail and ability to manage multiple priorities in a fast-paced environment.
  • Collaborative team player with a proactive and solution-oriented approach.
  • Certification(s): Authorized House Counsel, if necessary
  • License(s): License to practice law in any State. If not licensed to practice in the State of Florida, must hold an Authorized House Counsel certification with The Florida Bar

Additional Experience Information:

  • Experience in the biopharmaceutical or healthcare industry.
  • While a Juris Doctor (JD) degree from an accredited law school is the minimum requirement for this position, candidates with additional education or specialized coursework in contract law or related fields may be preferred.
  • Advanced degrees such as a Master of Laws (LLM) in Contract Law or Business Law could provide candidates with a deeper understanding of relevant legal principles and enhance their qualifications for the role.
  • Additionally, completion of relevant certification programs or continuing legal education (CLE) courses focused on contract law may demonstrate a commitment to ongoing professional development in this specialized area of practice.
