The Deputy General Counsel for Business Operations plays an integral role within the legal department, acting as a senior legal advisor and a close collaborator with the General Counsel. This position involves overseeing a wide range of legal activities, including but not limited to, providing legal guidance to the business teams on commercial matters, managing litigation risks, ensuring compliance with laws and regulations, and participating in the development and implementation of corporate policies. The individual in this role supports the General Counsel in the leadership and direction of the legal team, contributing to strategic decision-making processes. With a focus on safeguarding the organization’s legal interests and maintaining its operations within the scope of the law, the Deputy General Counsel for Business Operations ensures the legal department fulfills its mission to protect and serve the organization effectively.

Job Description

Roles and Responsibilities

Supports the General Counsel in directing and managing the company’s legal affairs.

Provides expert legal advice and guidance to senior management and other departments on a wide range of legal matters.

Oversees and manages litigation and disputes involving the organization, including developing legal strategies and coordinating with external counsel, as directed by the General Counsel. Advises employees on their role in litigation and preparation for testimony.

Handles the response to subpoenas or other written discovery directed to the firm and/or its constituents.

Develops, implements, and enforces policies and procedures to ensure the organization’s compliance with applicable laws, regulations, and ethical standards. Recommends changes to policies and practices to comply with new legal requirements.

Supervises commercial lawyers. Assigns work to commercial lawyers and is responsible for ensuring that commercial lawyers in the department are working together efficiently. Oversees the review and negotiation of firm contracts with its vendors.

Provides leadership to other members of the legal team, supporting the General Counsel, with a focus on urgency, persistence, and excellence. Drives prioritization and process efficiencies for legal team advice to the commercial teams.

Participates in training and provides lead work direction to other legal staff.

Handles confidential matters as they arise with appropriate discretion.

Performs other related duties as required.

Required Qualifications

Juris Doctorate (JD) degree from an accredited university or college required.

Must be in compliance with all relevant licensing requirements, including the requirements of the jurisdiction where the role will be located, prior to commencement of employment.

A minimum of 10 years of in-house legal practice in an insurance company; experience in life and health reinsurance strongly preferred.

Desired Characteristics:

Contract review experience a plus.

Ability to communicate effectively and diplomatically with the company’s attorneys and business professionals. Outstanding communication skills, both in one-on-one and group environments, are expected. Communicate complex concepts and issues effectively across the Company verbally and in writing.

Strong interpersonal skills and the ability to build working relationships with senior leadership and across departments.

Ability to exhibit a creative and practical approach to problem solving that is informed by the company’s strategic, business, and professional needs.

Team oriented, with excellent counseling, organizational, and analytical skills.

Ability to exhibit steadfast professional ethics and integrity.

Demonstrated commitment and adherence to maintaining the highest level of confidentiality.

Ability to work well under challenging demands and handle numerous responsibilities simultaneously with diligence while providing practical, business-driven advice.

Strong legal analysis abilities.

Strong leadership skills with a high level of maturity and the ability to gain the confidence and respect of firm leadership, attorneys, business professionals, and clients.
