JOB SUMMARY

This position requires a successful candidate to perform in-house counsel responsibilities, including, but not limited to, employment law matters, corporate governance, contracts, and compliance as more specifically described below.

ESSENTIAL DUTIES AND RESPONSIBILITIES

  • Primary point of contact for drafting, editing, negotiating, reviewing contracts including confidentiality agreements, customer contracts, provider contracts, business associate agreements, employment agreements, and various vendor contracts.
  • Partner with and efficiently manage outside counsel related to specific legal issues and litigation.
  • Advise on legal review of promotional sales and marketing documents.
  • Conduct legal research as needed and be able to synthesize legal concepts for general business use.
  • In collaboration with corporate audit function, develop and perform periodic internal assessments/auditing strategies to identify potential areas of compliance vulnerability.
  • Identify relevant federal and state statutory and regulatory requirements, provide counsel on the operational implications of such, and advise on procedures to satisfy these requirements, support operations and the implementation of solutions.
  • As needed, oversee the tracking of and response to any identified compliance/business ethics issues and direct investigations.
  • Create new corporate entities as needed and maintain all corporate documents, including business licenses, CLIA, etc.
  • Create and maintain contract database and monitor contract renewals.
  • Provide legal support to company financing efforts, as applicable.
  • Create and oversee corporate policy creation, updates and approvals.
  • Oversee Compliance Department and work with senior management team and business leaders to identify institutional compliance priorities, implement and monitor appropriate compliance-related policies and procedures and monitor the effectiveness of the compliance program including appropriate compliance training and educational programs that align with business strategy and priorities.
  • Update and maintain all insurance policies. Work with insurance broker to ensure all providers are current for professional liability insurance.
  • Provide legal support for employment matters.
  • Management of legal team members

Requirements:

QUALIFICATIONS AND EXPERIENCE

  • Law degree from an accredited law school and an active member in good standing of at least one state.
  • 7+ years legal experience in fields related to above described position, including 3+ years in health care. In- house experience a plus.
  • Extensive knowledge of HIPAA and a working knowledge of Corporate Practice of Medicine, Stark, Anti- kickback, and False Claims is required.
  • Demonstrated experience in leading and managing complex projects that are strategic in nature, time sensitive and of high importance to companys success.
  • Proven interpersonal and collaborative skills, written and verbal communication skills, and effective at problem-solving.
  • Demonstrated responsiveness and ability to simultaneously handle multiple assignments and prioritize work assignments and meet the needs of a fast-paced environment.
  • Self-starter, motivated to undertake projects as needed without extensive direction.
  • Proven successful in working on matters of corporate governance with direct interaction with a Board of Directors is preferred.
  • Ability to travel occasionally.
  • Proficient in Excel, PowerPoint, Word and Outlook. Experience with Salesforce a plus.
  • Management experience managing a small legal team
