We are looking for an Associate General Counsel who will play a critical role on the VideoAmp legal team, with a focus on Commercial, Data, and Privacy matters. This role will support VideoAmp to accelerate the sustainable growth of our business model by being a key leader in the legal department. The Associate General Counsel will assume ownership of VideoAmps commercial matters, which include building out scalable workflows to increase efficiency, negotiating high stakes revenue, partnership, data agreements, and advising on legal matters related to product, data, and privacy. We are looking for a true self-starter who is great at issue spotting, time management, communication, and execution. Counsel will collaborate with teams across the entire company and has experience being a commercially-minded attorney who has worked in start-up environments and can do more with less. The ideal candidate will be a team player who can work with minimal supervision, deliver a large volume of deliverables, and is solution-oriented. We are looking for someone who sees obstacles as opportunities for improvement and has served as a lead commercial attorney in prior experiences.

This role will report directly to the General Counsel.

RESPONSIBILITIES:

  • Provide analysis and advice on contractual matters for the Company.
  • Draft, negotiate, and review commercial contracts, including: SaaS, partnership, licensing, data, distribution, consulting, confidentiality, and other business and legal documents.
  • Serve as the lead commercial attorney on all revenue agreements and guide and support other commercial attorneys and stakeholders.
  • Take ownership of all data, privacy, and product related matters by managing the data privacy program, advising on product development, and advising on the Companys data compliance.
  • Assist with legal operations including implementation of efficient workflows between various teams, management of IronClad, document retention program, and the like.
  • Serve as a generalist to support the General Counsel, legal team, and stakeholders on all legal matters. With a small team, we all do a bit of everything and we are looking for an attorney who is willing to take on anything and learn.
  • Strong communication and time management skills are essential, along with the ability to be agile in providing solutions. We deliver a high volume of work in a short period of time and the ability to comprehend issues and risks quickly will be an important skill, as well as the ability to communicate related risks clearly to decision makers. The ability to quickly provide solutions and options is highly valued.
  • Anticipate, provide timely evaluation and guidance on, and propose mitigation strategies on, potential risks in contractual, privacy, compliance, financial, and legal areas.
  • Develop and provide education and training to the Sales team, as well as other teams as needed.
  • Assist counsel with corporate governance matters on an as-needed basis.

QUALIFICATIONS:

  • JD from an accredited law school.
  • 8-10 years of experience working both at a law firm and in-house, preferably in technology and/or digital media companies.
  • Current member in good standing of the California or New York bar.
  • Leadership experience in legal operations/automation, commercial transactions, privacy, data licensing, and product.
  • Strong experience in commercial sales transactions, preferably with a large company or firm.
  • Extensive experience negotiating and drafting commercial transactions with large media companies (agencies, programmers, and/or distributors) and television publishers.
  • Exceptional verbal and written communication skills in interactions with customer, partners, and all levels of VideoAmp employees.
  • Advance understanding of contracts.
  • Knowledgeable about data privacy law and and experience reviewing of DPAs. Experience implementing data privacy process in-house and project managing privacy matters.
  • Ability to work well with others, super-smart, passionate about what you do and fired up about the opportunity ahead for VideoAmp. We mean it when we say teamwork is critical here!
  • Developed business acumen, with ability to understand the companys business and anticipate the nature and magnitude of issues that could arise in various settings.

Minimum base salary of $200,000 + Equity + Benefits. The actual compensation offer will be determined by a number of factors, including, but not limited to, applicant's qualifications, skills, and experience.
