Job Description

At Nexthink, a leader in digital employee experience software, we're seeking General Counsel to guide our legal strategy across a fast-evolving, global landscape. Your expertise will drive our ambitious growth plans, entering new markets, R&D innovation, employment law, equity management and M&A activities while ensuring legal excellence and safeguarding our interests. In this role, you'll manage a spectrum of legal domains from contracts to intellectual property, ensuring our global operations run smoothly and our sales and partnerships thrive with solid agreements. You'll have the chance to shape our legal strategies, work directly with the CEO, and foster a global team in an environment where your expertise supports and accelerates our 20% year-over-year growth.

Responsibilities

  • Craft comprehensive legal strategies that bolster business objectives and advise the executive team on the legal implications of strategic initiatives.
  • Oversee the development of internal legal policies and procedures, while assessing and mitigating risks tied to business decisions. Lead the legal facets of strategic business planning and coordinate with external legal advisors to ensure alignment on critical legal matters.
  • Ensure Nexthink's adherence to SEC regulations and other corporate governance standards, including GDPR and data protection laws.
  • Facilitate and prepare agendas for board meetings, maintain corporate records, and keep shareholder information up-to-date.
  • Provide advice on best governance practices, monitor legislative changes, and oversee the implementation of effective governance structures.
  • Keep abreast of legislative changes and the regulatory landscape to ensure company compliance. Train and guide staff on necessary compliance protocols and legal mandates.
  • Conduct internal audits and reviews, liaise with regulatory bodies for submissions, and manage all compliance documentation and reporting.
  • Negotiate and review complex contracts with clients, suppliers, and partners to ensure they comply with legal standards and mitigate risks.
  • Provide legal counsel on contract matters and collaborate with sales and business development teams to ensure agreements support business objectives. Manage the entire contract lifecycle, from initiation through execution to renewal.
  • Develop strategies to minimize litigation risks and represent the company in legal proceedings, overseeing outside counsel.
  • Advise on and negotiate settlement strategies, manage pre-litigation disputes, and coordinate with departments for case preparation.
  • Oversee safeguarding the company's intellectual property rights, guiding patent, trademark, and copyright issues.
  • Negotiate and draft critical IP agreements, such as licensing and non-disclosure agreements. Collaborate with R&D and product teams to pinpoint and protect patentable innovations.
  • Lead and execute due diligence for M&A, structuring and negotiating transaction terms.
  • Collaborate with finance and accounting for IPO readiness, advising on legal and regulatory requirements.
  • Develop risk management strategies for post-merger integration and guide the company through all legal aspects of deal closings.

Qualifications

  • Juris Doctor (JD) degree with admission to a State Bar
  • 10+ years in corporate law practice with 5+ years in a senior legal management role
  • Experience with SEC regulations, GDPR, Data Protection compliance, corporate governance standards, intellectual property law
  • Proficiency in legal contract negotiation and drafting, with expertise in managing the contract lifecycle
  • Ability to conduct legal audits and risk assessments
  • Experience with litigation management and dispute resolution
  • Skill in intellectual property rights protection and IP agreement drafting
  • Proficiency in legaland due diligence for mergers and acquisitions
  • Understanding of IPO preparation and related legal requirements
  • Capability to coordinate with external legal advisors and regulatory bodies
  • Proven track record of successfully managing a legal department
  • History of developing and implementing comprehensive legal strategies
  • Demonstrated ability to advise executive teams on complex legal matters proficiently
  • Experience in leading legal aspects of strategic business planning
  • Successful oversight of company compliance with evolving legislative and regulatory landscapes
