BD's Corporate Development Department has responsibility for supporting the development and execution of both short- and long-term growth strategies of the Company and partnering with its worldwide business units, regions, and innovation center. Individuals in the Department identify, evaluate, value, structure and negotiate business opportunities including acquisitions, divestitures, strategic alliances, and equity investments. The Department develops and acts as an objective advisor regarding the strategic fit, valuation, and structuring of these numerous opportunities. Individuals in the Department are expected to provide overall project / deal management and, where appropriate, to work with the Leadership Teams of worldwide business units. Finally, the Department is responsible for shaping and executing BDs corporate strategy as well as developing and maintaining valuation models and transactional, diligence and integration processes.

The Senior Counsel, Commercial Business Units, will be a member of the Global BD Law Group and report to the Assistant General Counsel, Medication Management Solutions (MMS) Business Unit. The successful candidate will partner with the Law Group Business Unit commercial counsels to support one or more of BDs business units.

Responsibilities:

  • Must possess strong knowledge of corporate and commercial/transactional law and demonstrated expertise in drafting and negotiating complex commercial agreements and advising and counseling clients on a range of business transactions, and in the development of new products and innovations in multiple areas of law focused on the medical device industry

  • Identify and resolve complex legal issues to support the commercial operations of a global leader in the research, development, manufacturing, sales and marketing of BDs portfolio of products, including developing strong knowledge of supported BD portfolios and clients

  • Provide day-to-day legal advice to the businesses and for the drafting and negotiation of a wide range of commercial agreements

  • Serve as legal reviewer alongside Medical and Regulatory representatives to review and approve advertising and promotional materials; experience with such review in regulated and/or non-regulated settings is strongly preferred

  • Maintain familiarity with laws that affect the medical device industry, including those relevant to sales and marketing of products to health care professionals and reimbursement by government programs, including, for example, fraud and abuse (Anti-Kickback Statute, False Claims Act), FDA regulation (Food, Drug & Cosmetic Act), privacy (HIPAA), security (pre and post market FDA guidance), and anti-corruption (Foreign Corrupt Practices Act)

  • Advise and counsel relating to M&A, partnerships and strategic collaboration, including conducting due diligence, drafting and negotiation of related agreements

  • Develop strong relationships throughout all functional areas, departments, and divisions to foster an advisory or collaborative approach to proactive compliance

  • Collaborate across many functions, countries, cultures, and time zones to drive results on complex projects

  • Represent BD externally to suppliers, partners and customers

Qualifications:

  • Experienced practitioner, with 8 or more years of relevant law firm and/or corporate in-house law department (preferred) experience
  • Hold a J.D. or L.L.M with strong academic credentials from an accredited law school and will have obtained an undergraduate degree from a college or university of recognized standing
  • Admission to the California Bar, and a member in good standing, or eligible to practice as California Registered in-house counsel under California Rules of Court 9.46. required

  • Solid analytical and conceptual skills, critical thinking, and problem-solving skills

  • Superior written, verbal, and interpersonal communication skills with an acute ability to listen attentively and to communicate effectively throughout all levels of the organization

  • Ability to present nuanced, complicated, and content rich issues clearly and succinctly

  • Strong interpersonal and relationship skills and ability to influence diverse stakeholders, navigate controversial situations, and change traditional ways of doing business

  • Demonstrated ability to be proactive, exercise independent judgment, and manage multiple projects simultaneously

  • Ability to produce high-quality work under significant deadline pressures

  • Ability to commute into San Diego office location for three days per work week (hybrid model)

  • Ability to travel up to 10% of the time

There are many factors, such as location, that contribute to the range displayed. The salary offered to a successful candidate is based on experience, education, skills, and actual work location. Salary ranges may vary for Field-based and Remote roles.

Salary Range Information

$158,500.00 - $285,300.00
