THE POSITION

As the Contract Attorney, you will collaborate with leadership and across departments with responsibility for drafting, reviewing, and negotiating agreements. This position provides a unique opportunity to solve tough multidisciplinary problems and grow your expertise, partner closely with senior leadership and technical teams to provide a high quality and diverse range of contractual legal services, while exercising discretion, professionalism and sound judgment. This position will require a willingness to dive into complex issues where biotechnology and law mix.

IN THIS POSITION, YOU WILL:

  • Draft and negotiate agreements, protecting the companys interests and ensuring contractual arrangements are compliant with applicable State, Federal and International laws, rules and regulations related to research, development, commercial and corporate operations.
  • Negotiate contracts along a wide spectrum of topics, including first-of-a-kind arrangements, important business deals, and IP transactions.
  • Develop and update contracting templates, terms and conditions, and related materials to support contracts across the business.
  • Work closely with outside counsel, including managing scope and budgets.
  • Counsel and provide legal advice, research, and interpretations pertaining to Parse operations, transactions, and system improvement and development.
  • Manage various legal matters, disputes, and strategic projects as requested.

FOR THIS POSITION, WE LOOK FOR

  • JD degree from a U.S. accredited law school and active membership in the California, New York, Massachusetts, Delaware, or Washington state bar preferred
  • 4+ years of legal experience, including contract drafting/negotiating
  • Experience in life sciences, biotechnology, or related field preferred
  • Experience with Software as a Service (SaaS) contracting
  • Experience in mid-large firm with focus on corporate law and contracts
  • Experience in a dynamic start-up environment is preferred
  • Experience managing high deal volumes
  • Business acumen: Understanding of business concepts, strategies, and risks
  • Knowledge of intellectual property and U.S. state and federal privacy laws
  • Understanding of basic finance principles, implications of deal terms, and impacts on revenue and asset generation
  • Excellent written and verbal communication skills, and exacting attention to detail

Market Pay Range - Exact compensation will be dependent on skills, education and experience relevant to the position
$150,000$180,000 USD
